Revenue mix: Grill revenue fell 14.4% to $76.8 million, while consumables rose 7.4% to $32.3 million and accessories rose 7.4% to $35.8 million. North America generated $126.3 million; rest-of-world revenue was $18.6 million. Retail sales were $125.1 million and DTC sales $19.8 million.

Margins and expenses: Management attributed the gross-margin increase primarily to freight and logistics improvements, pellet mill capacity optimization, and favorable foreign exchange. Sales and marketing expense was $21.7 million, down 1.8%; general and administrative expense rose 20.5% to $32.1 million, largely due to higher stock-based compensation, employee, and occupancy costs. Stock-based compensation was $10.1 million, versus $7.9 million.

Financial position and liquidity

  • Cash and cash equivalents were $23.6 million at March 31, down from $29.9 million at December 31, 2023.
  • Term-loan principal outstanding was $403.8 million. The term loan matures June 29, 2028; the revolving facility matures June 29, 2026. No revolver borrowings were outstanding at quarter end.
  • The company had drawn $40.6 million under its receivables financing facility, with $4.3 million of stated borrowing capacity remaining. It reported $125.0 million of revolving-facility borrowing capacity.
  • Traeger reported compliance with debt covenants, including a maximum first-lien net leverage ratio of 6.20 to 1.00. It said cash, available facilities, and anticipated operating cash flows should meet working-capital and operating needs for at least the next 12 months.
  • Operating cash use improved year over year, but remained negative. Q1 financing provided $12.0 million, primarily from net borrowings under the receivables facility. Cash decreased by $6.3 million during the quarter.

Material changes, outlook, and risks

  • Revenue declined amid softer grill demand: grill unit volume fell by a mid-single-digit percentage, and grill average selling price fell by a high-single-digit percentage. Management cited lower-priced product mix and strategic pricing, alongside macroeconomic pressure on discretionary spending.
  • Management expects challenging macroeconomic conditions and consumer shifts away from big-ticket home products to continue through 2024, potentially pressuring revenue and results. Inbound freight container rates were up by more than 20% year over year in the quarter; continued supply-chain pressure could raise costs.
  • Management cited cost-saving efforts including overhead reductions, long-term transportation contracts, freight surcharges, and pellet-mill efficiencies. The filing gives no quantitative full-year revenue or earnings guidance.
  • Three large U.S. retail customers represented 23%, 19%, and 9% of Q1 revenue, respectively. Traeger also relies on a limited number of third-party manufacturers and suppliers; disruption could affect product availability.
  • In April 2024, after quarter end, Traeger paid the remaining $15.0 million of Apption Labs contingent consideration. Also in April, Morgan Stanley succeeded Credit Suisse as administrative and collateral agent under the credit facilities; the company said its obligations were substantively unchanged.
  • Interest expense was $8.1 million, broadly unchanged. Other income was $3.7 million, primarily reflecting realized and unrealized interest-rate-swap gains, partly offset by foreign-currency effects. The company had $8.7 million remaining in accumulated other comprehensive income to be amortized as a reduction of interest expense.
  • Traeger reported no material changes to previously disclosed risk factors, no material pending litigation identified, and effective disclosure controls as of March 31, 2024.

Investor verification points

  • Track grill unit volumes, pricing, product mix, and whether consumables and MEATER-related accessory growth can offset weaker grill sales.
  • Verify whether improved gross margin persists as freight rates, foreign exchange, and pellet-mill utilization change.
  • Monitor cash burn, seasonal working-capital needs, facility availability, the receivables-facility liquidity threshold, and covenant compliance.
  • Review the impact of the April $15.0 million contingent-consideration payment on liquidity and debt needs.
  • Assess retailer and supplier concentration, and the potential impact of continued macroeconomic or transportation-cost pressures.
