Q3 sales rose 11.7%, supported by higher volumes across regions, $3.8 million of favorable foreign exchange and $11.9 million of Jyco sales. Nine-month sales grew 5.2%. Lean savings and volume growth supported gross profit; customer price concessions, staffing and other operating costs partly offset gains. Nine-month 2013 earnings were below 2012, which included substantial U.S. valuation-allowance tax benefits.
Cash, liquidity and debt
- Cash was $119.2 million at September 30, down from $270.6 million at December 31, 2012. Nine-month investing cash outflow was $140.6 million, including $132.8 million of capital expenditures and $13.5 million net cash for the Jyco acquisition.
- Operating cash flow was $17.6 million, despite $152.5 million of cash use from changes in operating assets and liabilities, principally receivables and inventories.
- Total debt was $679.2 million, up from $483.4 million at year-end 2012; this included $450 million of 8.5% senior notes and $196.3 million carrying value of Senior PIK Toggle Notes. Net interest expense for nine months was $40.0 million.
- The amended ABL facility provides up to $150 million, subject to borrowing-base availability, with a possible uncommitted $75 million increase. No amount was drawn at quarter-end; $26.4 million of letters of credit was outstanding. Current assets were $1,012.0 million versus current liabilities of $538.4 million.
Material changes and business developments
- On April 3 and May 20, 2013, the company issued $200 million aggregate principal amount of 7.375% Senior PIK Toggle Notes, due 2018. Proceeds and cash on hand funded an equity tender offer.
- On May 2, the company repurchased 4.65 million common shares for approximately $200 million at $43 per share. Nine-month cash-flow reporting shows $217.5 million of common-stock repurchases in total.
- Jyco Sealing Technologies was acquired July 31 for $14.4 million, expanding sealing technology and customer relationships in Canada, Mexico and China.
- Effective April 2013, segment reporting changed from two geographic segments to four: North America, Europe, South America and Asia Pacific. Europe remained loss-making, though its segment loss improved to $7.5 million in Q3 and $14.8 million for nine months.
- Management announced mandatory conversion of all outstanding 7% preferred shares on November 15, 2013, into approximately 3.52 million common shares.
Outlook, commentary and risks
- Management expected 2013 capital expenditures of approximately $180–$190 million and stated that cash, operating cash flow and ABL availability were expected to cover requirements for the next 12 months. This outlook is subject to operating performance, borrowing-base limits and market conditions.
- Management cited automotive production volumes, customer pricing pressure, raw-material costs, lean savings and restructuring as key operating drivers. It reported customer price concessions and higher staffing and operating expenses alongside volume and efficiency benefits.
- The filing identifies risks including automotive cyclicality and regional economic weakness, customer or platform losses, supply constraints, price and volume pressure, raw-material volatility, foreign exchange, labor issues, pension funding, product liability/recalls, tax-rate uncertainty, debt service and financing restrictions, and acquisition execution.
- Q3 restructuring expense was $1.9 million, versus $10.2 million in Q3 2012. A Korea facility closure and equipment transfer was initiated; estimated cost is $1.0 million, with completion expected in 2014.
- Management reported no material litigation loss considered reasonably possible beyond amounts already recognized, while noting outcomes remain unpredictable. Disclosure controls were concluded effective; no material change in internal control over financial reporting was reported.
Most important facts for investors to verify
- Reconcile the filing-period mismatch in the request: this is the 2013 Q3 Form 10-Q, not a 2012 Q3 report.
- Assess whether operating cash generation can support the planned capital spending and working-capital needs, given the decline in cash and elevated receivables and inventories.
- Review the higher debt burden and PIK Toggle Note interest terms, and confirm ABL borrowing availability after borrowing-base limits and letters of credit.
- Separate recurring earnings trends from the prior-year tax benefits and the effects of the share tender, preferred conversion, Jyco acquisition and restructuring.
- Track regional profitability, particularly continued losses in Europe and South America, and test management’s production, pricing and cost-savings assumptions against subsequent results.
