Reporting period: Fiscal year ended December 30, 2017. This is an annual report, not a standalone Q4 filing; quarterly figures below are included for context. FY2016 included a 53rd week, which affects comparability.

Charles River is a global contract research organization supporting drug discovery and non-clinical development, research models, and pharmaceutical manufacturing quality testing. Revenue increased 10.5%. DSA revenue rose 17.1% to $980.0 million, Manufacturing rose 9.5% to $384.0 million, and RMS was nearly flat at $493.6 million. Service revenue grew 14.8%; product revenue grew 1.6%. Operating cash flow less capital expenditures was approximately $235.6 million, calculated from reported figures.
The effective tax rate rose to 57.7% from 30.0%, primarily due to U.S. tax reform. The tax provision was $171.4 million and included a provisional $78.5 million impact from tax reform. Other income included $22.9 million of venture-capital investment gains and a $10.6 million gain on the CDMO divestiture.
At year-end, cash and cash equivalents were $163.8 million, plus $28.5 million of investments. Long-term debt, net, and capital leases were $1,114.1 million; credit-facility borrowings were $1,102.3 million. The company reported covenant compliance. A 100-basis-point increase in interest rates was estimated to raise annual pretax interest expense by $11.0 million.
Changes and unusual items
- Operating income increased by $50.1 million, reflecting demand, acquisitions, pricing and productivity improvements; operating margin expanded 1.4 percentage points.
- Net income attributable to common shareholders fell $31.4 million despite higher operating income, principally because of the tax-reform-driven tax expense.
- Q4 revenue was $478.5 million versus $466.8 million a year earlier. Q4 operating income was $62.7 million versus $69.1 million; common shareholders recorded a $29.8 million loss, or diluted EPS of $(0.63), versus income of $44.7 million and EPS of $0.95. The filing attributes the Q4 loss largely to U.S. tax reform.
- The company sold its CDMO business in February 2017 for $75.0 million in proceeds and recorded a $10.6 million gain. It acquired Brains On-Line in August 2017 for $21.3 million upfront, with potential contingent payments.
- In Q4, the company committed to close its Maryland RMS production facility before the end of 2018 and consolidate production. It recorded $18.1 million of restructuring costs, mostly impairment and accelerated depreciation; additional 2018 costs were estimated at $6.5–$7.5 million.
Outlook, management commentary and risks
Management described demand as stronger in FY2017, particularly in Safety Assessment and Manufacturing, citing increased outsourcing, biotechnology client demand, higher facility utilization and modestly improved pricing. Discovery Services demand was stable; RMS demand was stable overall, with softer demand in mature markets partly offset by growth in China and services. The filing provides no quantified FY2018 revenue or earnings guidance.
After year-end, the company agreed to acquire MPI Research for approximately $800 million in cash, subject to customary adjustments and closing conditions, with closing expected early in Q2 2018. It secured a commitment for up to $830 million of bridge financing and was evaluating fixed-rate alternatives. Specified termination circumstances could trigger a $48–$56 million fee. The company also acquired KWS BioTest in January 2018 for $20.3 million upfront, plus potential contingent payments.
Key disclosed risks include reductions in client R&D spending or outsourcing, contract cancellations and fixed-price cost overruns, regulatory and data-integrity compliance, animal contamination or supply disruptions, cybersecurity, foreign exchange and international operations, acquisition integration, competition, and substantial debt. U.S. tax-reform accounting remained provisional, with final adjustments expected by the end of FY2018. The auditor gave unqualified opinions on the financial statements and internal controls; Brains On-Line was excluded from the internal-control assessment because it was acquired during 2017.
Most important facts for investors to verify
- How much of reported revenue and operating-income growth reflects acquired businesses versus organic growth, pricing and volume.
- The final tax-reform adjustment, cash payment schedule for the transition tax, and subsequent effective tax rate.
- MPI Research closing, final purchase price, financing mix, resulting leverage and integration costs.
- Whether the Maryland facility closure achieves expected savings and whether remaining lease and transition costs stay within estimates.
- Cash conversion and working capital: days sales outstanding rose to 60 days from 52 days, which management linked to systems integration and deferred-revenue timing.
