Dingdong (Cayman) Limited — FY2023 Form 20-F
Reporting period: Fiscal year ended December 31, 2023; filed April 19, 2024. Although the request refers to 2023 Q4, this is an annual report and does not provide a clear standalone fourth-quarter income statement or cash-flow summary. Financial figures below are for the full year unless otherwise noted. Amounts are RMB unless stated; U.S. dollar translations are for convenience.
Business context and results
Dingdong operates a fresh-grocery and food e-commerce business in mainland China through a network of regional processing centers and frontline fulfillment stations. It reported operations in 25 cities, approximately 1,000 frontline stations and around 2,000 suppliers at year-end. Management’s strategy is “efficiency first, with due consideration of scale”; during 2023 it exited or consolidated selected cities and stations.

Changes, outlook and risks
- Revenue and GMV fell from 2022. Management cites the 2022 COVID-related high base, 2023 market exits and lower consumer prices for commodities including pork and vegetables. Transacting users and order volume declined slightly in the short term, while management reported average monthly order frequency of four times and improved user stickiness.
- Average order value was RMB72.1, down from RMB74.5 in 2022 but above RMB58.7 in 2021. Management says fulfillment efficiency improved and the cost ratio declined.
- The company achieved its first full-year non-GAAP profit and reported five consecutive quarters of non-GAAP profitability since Q4 2022. It nevertheless remained loss-making under GAAP and cautions that future profitability is not assured.
- No formal financial guidance is provided. For early 2024, management reported Spring Festival same-store order volume up 6% and GMV up 5% year over year; on February 24, daily sales exceeded RMB100 million. These are post-period operating updates, not full-year guidance.
- Principal risks include intense competition, food safety and supplier quality, inventory and fulfillment execution, outsourced labor classification, cybersecurity and privacy regulation, PRC regulatory and cross-border fund-transfer uncertainty, foreign-exchange controls, and potential future HFCA Act trading restrictions if PCAOB inspection access is lost. The company reported no material data-security penalties and no material ordinary-course pending claims known to management; a U.S. securities class action was voluntarily dismissed in June 2023.
- Cash is concentrated in mainland China subsidiaries, and PRC rules restrict distributions and cross-border transfers. The subsidiaries made no distributions to the Cayman holding company in 2021–2023. The company has never paid dividends and does not plan to do so in the foreseeable future.
- A share repurchase program of up to US$20 million was announced in January 2024, to run through January 28, 2025; the filing does not report repurchases under the program.
The financial statements received an unqualified audit opinion, and management and the auditor reported effective internal control over financial reporting as of December 31, 2023. The auditor identified long-lived asset impairment assessment as a critical audit matter; no impairment was recorded.
Important facts for investors to verify
- Confirm the intended period: the filing reports FY2023, not standalone Q4 results; verify quarterly revenue, margins, earnings and cash flows in the relevant quarterly release.
- Resolve the filing’s accounting-basis inconsistency: its cover-page checkbox appears to select IFRS, while the financial statements, audit opinion and other disclosures state U.S. GAAP.
- Assess the quality and sustainability of the small non-GAAP profit against the GAAP net loss, cash outflow from operations and continuing share-based compensation.
- Check which cash and short-term investments are freely available versus pledged or otherwise restricted, and review refinancing and repayment needs for short-term borrowings.
- Evaluate whether city exits, lower commodity prices and post-pandemic user trends continue to weigh on revenue and GMV, and whether improved fulfillment efficiency can be sustained.
- Review PRC cash-transfer and regulatory exposure, PCAOB inspection status, and the founder’s voting control: the filing reports 81.1% of aggregate voting power for the founder as of December 31, 2023.
