  • Sales: Q3 reported sales rose 10%; fixed-currency sales rose 16%, comprising 12% pricing, 1% volume, and 3% acquisitions/divestitures, partly offset by 5% unfavorable currency translation. Nine-month reported sales grew 12%, versus 16% at fixed currency.
  • Margins: Q3 reported gross margin was 37.5%, down from 39.3%; adjusted gross margin was 37.7%, down from 40.9%. Reported operating margin was 13.2%, versus 14.0%; adjusted operating margin was 13.8%, versus 15.8%. Management cited product-cost inflation and unfavorable mix, which outweighed pricing. SG&A as a percentage of sales improved to 23.9% from 25.1% on sales leverage and cost savings.
  • Adjusted earnings: Excluding special items and discrete tax items, Q3 adjusted operating income decreased 3% (increased 2% at fixed currency), adjusted net income fell 7% to $372.5, and adjusted diluted EPS fell 6% to $1.30. For the first nine months, adjusted diluted EPS declined 6% to $3.22.
  • Cash flow and investment: Nine-month operating cash flow fell $491.8 year over year. Management attributed the decline mainly to a $381 million working-capital increase, including higher receivables from pricing and surcharges and higher inventories amid inflation and supply concerns. Capital expenditures were $510 million, versus $423.8 million.
  • Liquidity and debt: September 30 cash was $112.9, down from $359.9 at December 31, 2021. Total debt was approximately $8.525 billion, versus $8.758 billion; net debt was $8.412 billion, versus $8.398 billion. Net debt/EBITDA was 3.4x, unchanged. The company had $485 million of commercial paper outstanding and no borrowings under its $2.0 billion revolving credit facility, which expires in April 2026. Ecolab reported compliance with debt covenants and expects operating cash flow and, if needed, additional borrowing to fund foreseeable requirements.
  • Shareholder returns: During the first nine months, Ecolab paid $445 million in dividends and repurchased $445 million of shares. The Q3 dividend declared was $0.51 per share.

Material changes and segment trends

  • At fixed currency, Q3 sales increased 16% in Global Industrial, 12% in Global Institutional & Specialty, 34% in Global Healthcare & Life Sciences, and 13% in Other. Healthcare & Life Sciences growth included the Purolite acquisition; acquisition-adjusted sales in that segment were flat.
  • Q3 fixed-currency operating income grew 7% in Global Industrial and 4% in Global Institutional & Specialty, while declining 1% in Global Healthcare & Life Sciences. Industrial and Healthcare & Life Sciences margins faced pressure from higher delivered product costs; Healthcare also cited lower volumes and unfavorable mix.
  • Foreign currency was a material headwind: it reduced Q3 reported sales relative to fixed-currency sales and reduced adjusted diluted EPS by approximately $0.08 versus Q3 2021. Nine-month currency impact on diluted EPS was approximately negative $0.17.
  • Nine-month reported operating income declined 4%, while reported net income attributable to Ecolab was broadly flat. Reported results included special items in both periods, including materially higher COVID-19-related charges in 2021 and pension settlement expense in 2022.

Outlook, risks and unusual items

  • Outlook: The filing provides no specific consolidated sales, earnings or EPS guidance. Management expected continued high delivered product costs and significant unfavorable currency effects well into 2023, and a more challenging macroeconomic environment, particularly in Europe amid the war and energy crisis. It nevertheless expected operating cash flow to remain strong.
  • Europe savings program: Announced in November 2022, after quarter-end, the program targets $80 million of annualized pre-tax savings by the end of 2024 and is expected to be completed by mid-2024. Ecolab expects $130 million of pre-tax charges ($110 million after tax), including approximately $60 million in Q4 2022; charges are expected primarily to be cash severance and asset-disposal costs.
  • Special items: Total special gains and charges were $49.7 million in Q3 2022 and $132.0 million for the first nine months. Q3 items included $24.8 million of U.S. pension settlement expense, $11.5 million of primarily legal charges, and acquisition/integration and restructuring costs. Nine-month items also included $13.1 million of Russia/Ukraine-related charges and Purolite acquisition and integration costs. The filing reports a $15 million excess-sanitizer inventory reserve in Q1.
  • Restructuring: The Institutional Plan had $51.7 million of cumulative charges and targets $55 million of annual savings by 2024. Accelerate 2020 had $244.3 million of cumulative charges and $315 million of cumulative savings; the company expected to complete it by year-end 2022.
  • Geopolitical and macroeconomic exposure: Ecolab limited Russian operations to essential-life activities and may further narrow its presence. Russia and Ukraine represented approximately 1% of 2021 sales. The company identified inflation, supply-chain disruption, foreign exchange, energy costs, weaker demand, and possible sanctions or retaliatory actions as risks.
  • Contingencies: Nalco is among defendants in litigation related to the 2019 TPC Group plant explosion, with more than 5,000 plaintiffs’ claims reported. Ecolab says it believes the claims are without merit and expects insurance coverage subject to deductibles, but cannot estimate a loss or range at this stage. The company also participates in environmental assessments/remediation at approximately 30 locations and reports other ordinary-course claims.
  • Other notable items: A November 2022 board authorization added up to 10 million shares to the repurchase authorization. No goodwill impairment was recorded. PwC performed a review of the interim financial statements, not an audit.

Most important facts for investors to verify

  • Whether pricing continues to offset delivered-cost inflation, and whether gross and operating margins recover.
  • Whether working capital—especially receivables and inventory—normalizes and operating cash flow improves.
  • The pace and earnings/cash costs of the Europe savings program, and delivery of its $80 million annualized savings target.
  • Purolite’s contribution to organic growth and profitability, separate from acquisition effects and integration costs.
  • Exposure to currency movements, European energy and demand conditions, and Russia/Ukraine developments.
  • Progress and potential outcomes of the TPC litigation, environmental matters, and other contingencies.
  • Debt servicing and refinancing needs, floating-rate exposure, and the sustainability of dividends and share repurchases.
