- Profit and EPS: Net income was $115.3 million versus $86.5 million; net income available to common stockholders was $109.9 million, or $0.59 per diluted share, versus $82.4 million, or $0.44. Q1 2024 results included $14.8 million of insurance-recovery revenue for Hurricane Ian capital expenditures.
- FFO measures: FFO available to common stockholders and OP unitholders was $167.4 million ($0.86 per diluted share), versus $140.3 million ($0.72). Normalized FFO was $152.7 million ($0.78 per diluted share), versus $140.5 million ($0.72); the normalization excluded the $14.8 million insurance recovery, among other items.
- Property operations: Core Portfolio property operating revenue increased 5.8%, while related expenses excluding property management rose 3.9%. Core income from property operations excluding property management grew 7.1% to $206.1 million. Core manufactured-home occupancy was 94.9%, unchanged year over year. Core MH base rent increased 6.4%; Core RV and marina base rent increased 5.8%.
- Cash flow: Operating cash flow was $198.7 million, up from $159.0 million. Investing activities used $51.3 million, including $54.7 million of capital improvements; financing activities used $130.1 million. Cash and restricted cash ended the quarter at $47.3 million.
- Debt and liquidity: Quarter-end carrying amounts were $2.975 billion of mortgage notes, $497.9 million of term loans and $6.0 million drawn on the credit line. Mortgage debt’s weighted-average rate was approximately 3.9%; mortgage maturities range from 2025 to 2041. The $500 million credit line had $493.9 million of remaining capacity, and ELS reported compliance with material debt covenants. The filing does not provide a current-ratio measure.
- Distributions: The quarterly common-stock distribution increased to $0.4775 per share from $0.4475. Cash distributions paid to common stockholders were $83.4 million in the quarter.
Material changes versus Q1 2023
- Total revenue increased 4.5%; net income available to common stockholders rose 33.4%, with the comparison affected by the 2024 insurance recovery and a $2.6 million real-estate sale loss and impairment in Q1 2023.
- Interest and related amortization expense increased to $33.5 million from $32.6 million, which management attributed primarily to higher interest rates. Real estate taxes rose 13.5% for the total portfolio; Core property operating and maintenance costs also reflected higher insurance premiums.
- New-home sales increased to 191 from 176, while used-home sales fell to 54 from 102 and brokered resales to 109 from 134. Rental operations revenue declined 11.7%, primarily due to fewer occupied rental homes.
- Operating cash flow increased $39.8 million. Investing cash outflow decreased, while financing cash outflow increased, primarily because of greater net repayment of the credit line.
Outlook, risks and unusual items
- Management expects to meet near-term liquidity needs, including debt principal, capital improvements and distributions, using cash, operating cash flow, the credit line and potential ATM equity issuance. It did not provide numerical earnings or FFO guidance.
- ELS entered a new ATM program in February 2024 permitting up to $500 million of common-stock sales; none of the capacity had been used by March 31. In April 2024, it entered swaps covering $300 million of its $300 million term loan, with a weighted-average fixed rate of 4.65% before the applicable spread and an estimated all-in rate of 6.05% based on quarter-end leverage.
- Seasonal and transient RV and marina revenue is exposed to weather and travel patterns. Management also identifies risks from inflation and interest rates, insurance availability and cost, natural disasters, homebuyer financing, occupancy and rental rates, and access to refinancing.
- ELS disclosed a putative antitrust class action alleging manufactured-home community operators used Datacomp rent reports to coordinate rent increases. ELS disputes the claims and intends to defend itself; it recorded no accrual because it could not predict the outcome or reasonably estimate a loss.
- Insurance does not cover every potential loss. The renewed MH and RV property program has a $125 million per-occurrence limit, including $75 million for named windstorms, and includes deductibles and sublimits. The filing cautions that an uninsured or underinsured loss could affect property value and revenue while related debt obligations remain.
- Q1’s $14.8 million Hurricane Ian insurance recovery for capital expenditures materially benefited reported GAAP income and FFO, but was excluded from Normalized FFO. Management notes quarterly results can be seasonal and may not indicate full-year results.
Important facts for investors to verify
- How much of the reported earnings increase reflects recurring property performance versus the $14.8 million insurance recovery and the prior-year impairment and sale loss.
- Whether Core occupancy, rental-rate growth and expense trends—particularly taxes, insurance and maintenance—remain consistent in subsequent quarters.
- Debt maturities, floating-rate exposure, swap terms and borrowing costs, including the effect of the April 2024 swaps and the 2025 credit-line maturity.
- Potential financial exposure and developments in the Datacomp antitrust litigation, and whether insurance limits and deductibles are adequate for catastrophic events.
- Future use of the $500 million ATM program and the possible dilution and distribution implications for existing stockholders.
