Revenue mix: card revenues and other fees were $239.9 million, cash processing $101.8 million, interchange $64.0 million, and net interest income $10.7 million. Processing expenses rose 29% to $145.1 million, while sales and marketing fell 10% to $75.2 million and other general and administrative expenses fell 12% to $76.3 million. Effective tax rate decreased to 22.3% from 23.9%.
At March 31, 2023, unrestricted cash and cash equivalents were $722.0 million; total available-for-sale securities had a fair value of $2.369 billion. The securities portfolio carried $385.9 million of gross unrealized losses, primarily reflecting higher interest rates; management said it did not intend, and did not expect to be required, to sell before recovery of amortized cost. Deposits were $3.345 billion. The company had no revolver borrowings and the full $100 million facility available; it was compliant with covenants. Total assets were $4.686 billion and stockholders’ equity was $860.6 million.
Cash, cash equivalents and restricted cash declined $93.8 million during the quarter. Financing used $161.6 million, including a $104.4 million net decrease in deposits, a $19.9 million decrease in settlement assets and customer obligations, and $35.0 million net repayment on the revolver. Investing used $32.7 million, including a $35.0 million TailFin Labs contribution and $19.5 million in property and equipment purchases, partly offset by securities maturities. The company expects available cash, operating cash flows and borrowing capacity to meet needs for at least 12 months.
Material changes versus the prior period
- B2B Services revenue grew 27.9% to $171.3 million, driven by higher volumes and program-management fees in certain BaaS programs; segment profit was essentially flat at $22.2 million.
- Consumer Services revenue fell 11.9% to $139.8 million and segment profit declined 2.8% to $52.8 million. Active accounts fell 20.7%, direct-deposit active accounts 13.0%, and purchase volume 13.4%.
- Money Movement Services revenue increased 1.0% to $98.2 million; segment profit declined 0.7% to $61.0 million. Tax refunds processed rose 3.1%, while cash transfers fell 1.9%.
- Consolidated gross dollar volume increased 33.6% to $23.3 billion, but active accounts decreased 22.1% to 3.84 million and purchase volume decreased 14.6% to $6.1 billion. Growth was concentrated in BaaS programs and did not translate into higher B2B segment profit, partly because some arrangements have fixed-profit economics.
- Net income declined despite revenue growth, reflecting increased processing costs, higher interest expense and other expense. Net interest income increased 20% to $10.7 million. Basic EPS remained $0.70; diluted EPS decreased to $0.69.
- Operating cash flow declined year over year, while financing cash flow shifted from $186.0 million provided in Q1 2022 to $161.6 million used in Q1 2023, largely reflecting the change in customer deposits.
Outlook, commentary, risks and contingencies
Management expects consolidated operating profit to decline year over year in fiscal 2023, citing macroeconomic conditions, interest-rate effects, partner non-renewals, Consumer Services retail trends, growth investments and the timing of savings from its technology transformation. No numerical earnings or revenue guidance is provided in this filing.
Planned investments include renewed, cost-effective GO2bank marketing, a modern core banking and card-management platform, and AML and compliance improvements. Management expects higher hosting, software and personnel costs, as well as duplicate processing costs during the platform transition; it expects some processing costs and margins to improve after implementation. The filing describes the migration from third-party processing as ongoing and cautions that service disruptions or delays are possible.
Management says higher short-term rates have benefited current interest income, but expects the net rate effect to weigh on 2023 results versus 2022 because BaaS partners share a significant portion of deposit interest and portfolio yields adjust as securities mature. Key exposures include consumer weakness and inflation, fraud and credit losses, regulatory and AML requirements, technology execution, and reliance on partners. Walmart accounted for 17% of revenue, down from 20%; one BaaS partner generated approximately 32% of revenue, versus 23% a year earlier.
The company continues to contribute $35 million annually to TailFin Labs through January 2024; its investment was $113.4 million at quarter-end and it recorded $4.1 million of equity-method losses in Q1. A securities class action and related derivative action remain pending; given their preliminary stage, the company could not estimate the likelihood or range of loss. Management states other ordinary-course matters are not expected to have a material adverse impact. The company reported effective disclosure controls and no material change in internal control over financial reporting.
Important facts for investors to verify
- Whether concentrated BaaS revenue growth can be sustained and converted into segment profit, and the implications of the partner representing approximately 32% of revenue.
- Whether the declines in Consumer Services accounts, purchase volume and interchange revenue stabilize, including the effects of GO2bank marketing decisions and retail partner changes.
- Progress, costs and service reliability of the banking-platform migration, and whether anticipated processing savings and margin benefits are achieved.
- Trends in deposits, operating cash flow and liquidity, alongside the large unrealized losses in the investment portfolio and management’s ability to hold securities to recovery or maturity.
- Developments in the securities litigation, AML and regulatory matters, credit and fraud losses, and the remaining TailFin Labs funding commitment.
- Whether the expected fiscal 2023 operating-profit decline is consistent with subsequent company guidance and reported results; this filing gives no numerical forecast.
