Material changes versus the prior comparable period

  • Net income attributable to shareholders improved from a $9 million loss to $60 million of income, primarily reflecting higher gross profit, lower restructuring costs, lower interest expense and lower other expense.
  • Interest expense declined to $83 million from $100 million, while other expense declined to $1 million from $17 million.
  • Restructuring and other charges fell to $3 million from $52 million.
  • Selling and administrative expense increased 8% to $490 million, driven substantially by higher legal, investigation-related and professional fees.
  • Operating cash flow decreased because of higher working-capital use, particularly accounts receivable.
  • Foreign currency translation produced a $293 million loss in other comprehensive income, compared with a $284 million gain in Q1 2023, causing comprehensive income attributable to shareholders to change from $273 million of income to a $235 million loss.
  • The company corrected certain prior-period presentation amounts, revising Q1 2023 interest expense from $111 million to $100 million, other expense from $6 million to $17 million, and receivables factored from $445 million to $402 million.

Guidance, outlook, commentary and risks

Management expects 2024 capital spending to be approximately 4.9% of sales, net of potential grants and reimbursements, compared with 4.1% in 2023. The filing does not provide a clear numeric full-year sales or profit guidance figure. Management expects operating cash flows, planned divestiture proceeds and available credit facilities to fund operations, capital investments, dividends and debt service.

IFF completed the sale of its Cosmetic Ingredients business on April 2, 2024 and received approximately $841 million of gross proceeds, subject to final closing adjustments. The company also agreed to sell its Pharma Solutions business for a value of up to $2.85 billion; closing is expected in the second quarter of 2025 and remains subject to customary conditions.

The effective tax rate was 47.0%, primarily due to business-divestiture tax expenses, earnings mix and jurisdictions with valuation allowances. Unrecognized tax benefits were approximately $128 million, accrued interest and penalties were approximately $48 million, and aggregate uncertain tax positions including interest and penalties were approximately $176 million.

Key risks include substantial indebtedness, leverage and refinancing costs; foreign-exchange volatility; inflation and raw-material, energy and logistics costs; working-capital requirements; geopolitical events affecting Russia, Ukraine and the Middle East; competition and customer demand; impairment of goodwill and intangible assets; execution of divestitures and the strategic transformation; litigation and regulatory investigations involving the fragrance businesses; tax disputes; product, environmental and compliance matters; and cybersecurity risks.

The company recognized approximately $35 million of regulatory costs in the segment reconciliation, primarily related to legal fees and provisions associated with ongoing fragrance-business investigations. The filing states that the duration and outcome of the investigations by the European Commission, U.K. Competition and Markets Authority, U.S. Department of Justice and Swiss Competition Commission cannot currently be predicted.

Important facts for investors to verify

  • Confirm the final proceeds, adjustments and debt repayment effects from the Cosmetic Ingredients sale.
  • Track the timing, purchase price, conditions and leverage implications of the planned Pharma Solutions divestiture.
  • Assess whether improved gross and segment margins are sustainable after portfolio changes and normalization of pricing, volumes and input costs.
  • Monitor commercial paper balances, revolving-facility utilization, covenant thresholds and upcoming maturities, particularly the 2025 notes.
  • Review the outcome and potential financial exposure from fragrance-business antitrust investigations and related litigation.
  • Reconcile reported cash balances, including cash classified as held for sale, and monitor working-capital trends and receivables factoring.
  • Evaluate the effect of foreign-exchange movements on earnings, equity and the $1.4 billion notional cross-currency swap portfolio.
