Revenue rose 175%, largely from Life Sciences: $202, or 95% of total revenue, compared with $62 a year earlier. White-label services contributed $122 and wellness and lifestyle products $80. Infrastructure revenue was $10 versus $15. Gross margin improved as the mix shifted toward higher-margin Life Sciences sales.

R&D expense increased 214%, primarily due to IGC-AD1 Phase 2 work and preclinical studies of TGR-63. SG&A declined 13%, reflecting lower marketing and legal costs. The prior-year quarter included $430 of one-time PPP loan-forgiveness income; other income was $17 this quarter versus $443 a year ago. Stock-based compensation and related expenses were $1,152 this quarter.

Cash and cash equivalents were $8,053 at June 30, down $2,407 (23%) from March 31. Working capital was $11,068, down from $12,670. Investing activities used $158, including $127 for property and equipment and $31 for patents and rights; financing activities used $1. Total liabilities were $2,126, including $146 of EIDL loans and $434 of operating lease liabilities. The company reported no material long-term debt beyond disclosed obligations.

Changes, outlook and risks

  • Management expects Infrastructure revenue to remain lower for the foreseeable future, citing slow recovery from COVID-19 disruption and India’s monsoon season. Restrictions in Kerala and Hong Kong continue to affect operations, with limited visibility on recovery.
  • Management anticipates R&D expense will rise as Phase 2 patient enrollment proceeds. The Phase 2 protocol targets 146 patients across three sites in the U.S. and Canada, with a six-week primary endpoint period; the filing provides no financial or revenue guidance.
  • Management said cash and available short-term liquidity arrangements should meet operating and working-capital needs for the next 12 months, while also stating it will raise capital when able and continues to use its at-the-market offering. No ATM proceeds were received during the quarter.
  • Key risks include clinical-trial completion and outcomes, FDA and other regulatory requirements, commercialization of hemp-derived products, intellectual-property protection, funding needs, and COVID-related disruption. Management cautions that clinical development may take several years and carries considerable risk.
  • The company wrote off approximately $73 of inventory in SG&A for abnormal idle-facility costs, freight, handling, scrap and spoilage. Foreign-currency translation reduced comprehensive results by $219.
  • Apogee Financial Investments and John R. Clarke litigation remained pending. After a March 2022 dismissal in substantial part, two claims remained; IGC and its CEO deny liability and intend to defend the case. Management stated there were no other material contingencies disclosed.

Important facts for investors to verify

  • Phase 2 trial enrollment, site status, timing, costs and any reported efficacy or safety findings for IGC-AD1.
  • Cash-burn trajectory and whether cash, working capital and financing access remain sufficient as R&D spending rises.
  • Revenue quality and repeatability of white-label and consumer-product sales, given total quarterly revenue of only $212.
  • Potential dilution: 51,840,603 common shares were outstanding at June 30; 52,534,353 were reported outstanding August 1. The filing also reports substantial unissued restricted awards and other potentially dilutive securities.
  • Progress and potential exposure in the Apogee litigation, and the collectability of the $354 claim receivable from Cochin International Airport, for which collection may take longer than 12 months.
  • Management’s stated expectation of liquidity for the next 12 months and continued reliance on possible future capital raising.
