The company had no outstanding balance on its $5 million Hitachi credit facility and had repaid its $149,900 SBA EIDL loan in January. Business changes and drivers
- ValidClick revenue was $8.48 million, or 79.9% of total, compared with $13.08 million, or 87.6%, a year earlier. IntentKey revenue rose 15% year over year to $2.13 million and increased to 20.1% of total revenue.
- Management attributed lower revenue mainly to pandemic-related reductions in advertising budgets and monetization rates, with ValidClick more affected than IntentKey. Changes to marketing-partner terms in 2020 also reduced ValidClick revenue in exchange for higher gross margins. Management reported ValidClick monthly compounded growth of 9% from its May 2020 low through March 2021.
- Cost of revenue fell 58.0%, and gross margin improved to 86.4%, reflecting revenue mix, lower ValidClick revenue, and reduced outsourced campaign-management work. Compensation increased 16.8%, partly due to higher salaries, stock compensation, and IntentKey sales hiring; headcount was 77 versus 69 a year earlier.
- January equity offerings raised approximately $14.25 million gross. Q1 net common-stock proceeds were $13.14 million. Shares outstanding increased to 118.5 million from 98.0 million at December 31, 2020, creating significant dilution.
Outlook, risks, and unusual items
- No specific revenue, earnings, or cash-flow guidance was provided. Management said it believes cash and available credit are sufficient for the next 12 months, while cautioning that this depends in part on execution of its IntentKey growth plan. If that plan is unsuccessful, further equity, debt, or partnering/licensing financing may be needed.
- Management reported improving advertising demand and revenue run rates following the 2020 pandemic decline, but said results had not returned to pre-pandemic levels by quarter-end and remained difficult to predict.
- Customer concentration is substantial: Google, Proper Media, and Yahoo! generated 75.7% of Q1 revenue (40.0%, 19.2%, and 16.5%, respectively), and accounted for 64.5% of gross receivables. Loss of, or adverse changes in, these relationships could materially affect results.
- Other income of $470,000 included recognition of $420,000 of deferred revenue after cancellation of a ValidClick licensing agreement and reversal of a $50,000 sales reserve. The company also reported a $60,000 reserve reversal in lower SG&A. These items helped reduce the reported net loss.
- Other disclosed risks include advertising-market and COVID-19 uncertainty, reliance on supply partners and profitable traffic acquisition, privacy and data-security requirements, technology and infrastructure risks, potential dilution, and the ability to maintain NYSE American listing standards. Management reported disclosure controls were effective and no material change in internal control over financial reporting; no legal proceedings were reported.
