Portfolio, expenses, debt and liquidity

  • Total-portfolio average monthly rent per occupied home increased 4.4% to $2,358. Average occupancy declined to 96.7% from 97.2%. Same Store average rent rose 4.6% to $2,363, while Same Store occupancy eased to 97.6% from 97.8%.
  • Same Store renewal lease net effective rent growth was 5.8%, down from 7.8%; new-lease growth was 0.8%, down from 5.3%. Same Store turnover was 20.8% annualized, and homes averaged 40 days vacant between residents versus 39 days.
  • Total expenses increased 12.4% to $554.4 million, exceeding revenue growth. Property operating and maintenance expense rose 10.5% to $230.4 million, and interest expense rose 15.1% to $89.8 million. Management cited higher property taxes, utilities, HOA, insurance and administrative costs, as well as higher debt and interest rates.
  • Gross debt was $8.61 billion; company-defined net debt was $7.76 billion. The weighted-average interest rate was 3.82%, and weighted-average years to maturity were 4.7, assuming available extension options are exercised. The $1.0 billion revolving facility was undrawn.
  • Debt maturities include $3.14 billion in 2025, primarily the $2.5 billion 2020 Term Loan Facility due January 2025; that facility has two six-month extension options. Management says there is no debt reaching final maturity before January 2026 if all applicable extensions are exercised.
  • 98.9% of variable-rate borrowings were effectively fixed through swaps. The company estimates a 100-basis-point change in Adjusted SOFR would change annual interest expense by about $0.4 million, assuming debt balances remain unchanged.
  • Cash from operations was lower mainly because of a net $67.3 million use of cash from changes in operating assets and liabilities. Investing used $24.9 million and financing used $190.8 million; dividends and distributions paid were $173.8 million. The quarterly dividend was $0.28 per share, paid April 19, 2024.

Outlook, material developments and risks

  • The filing provides no numerical full-year 2024 earnings or operating guidance. Management expects rental income, net of expenses, generally to support near-term operations and dividends, but notes that liquidity and results are exposed to economic and financing conditions.
  • Management reports continued higher bad-debt expense compared with pre-COVID averages, with longer timelines to address residents who are behind on rent. Inflation and labor and materials costs have affected property maintenance and renovations; higher insurance costs, property taxes and HOA fees are also identified pressures.
  • Binding homebuilder agreements cover 1,970 homes over four years, with $629.4 million of remaining purchase commitments. Remaining joint-venture equity commitments were $127.6 million at quarter-end.
  • After quarter-end, the company invested $37.5 million for a 7.2% interest in a joint venture with approximately 3,700 homes; management services for those homes and 700 additional partner homes are expected to begin in Q3 2024. A separate agreement to manage about 3,000 homes is expected to commence May 15, 2024.
  • The FTC inquiry concerning company practices, including during the COVID-19 pandemic, remains under preliminary resolution discussions; the company cannot estimate a possible loss. The company is also responding to an SEC inquiry concerning building codes and permitting. Management says ordinary-course legal proceedings are not expected to have a material adverse effect.
  • Risks discussed include interest rates and refinancing, inflation and resident rent payment capacity, competition, property operating costs, natural disasters and climate-related regulation. The company has binding purchase obligations and debt covenant requirements. It reported no material changes to previously disclosed risk factors.

Important facts for investors to verify

  • Whether rent growth, occupancy, leasing spreads and days-to-re-resident stabilize or weaken further, particularly given slower new-lease growth.
  • Whether operating-cost inflation and higher interest expense continue to outpace rental revenue growth, and how much reported earnings depend on property-sale gains.
  • Refinancing or extension plans for the 2025 term-loan maturity and the company’s ability to maintain debt covenants and targeted leverage.
  • Progress and funding needs for the $629.4 million homebuilder commitments, $127.6 million of joint-venture commitments, and the new post-quarter joint venture.
  • Developments and potential financial or operational consequences of the FTC and SEC inquiries, for which outcomes or potential losses are not currently clear.
