Sales, Volumes and Margins
- Potash sales volume increased 31% to 242,000 tons, while average net realized price declined 24% to $317 per ton. Potash net sales were $76.8 million versus $77.3 million.
- Trio® sales volume decreased 8% to 36,000 tons, and average net realized price decreased 3% to $340 per ton. Trio® net sales were $12.1 million versus $13.8 million.
- Potash gross margin declined to $27 per ton from $165 per ton. Trio® gross margin declined to $29 per ton from $85 per ton.

- Production was 220,000 tons of potash and 32,000 tons of langbeinite, compared with 222,000 and 46,000 tons, respectively, in Q1 2013.
Material Changes Versus the Prior Comparable Period
- Cost of goods sold rose 46% to $78.6 million, driven by higher production costs, increased depreciation and depletion from recently placed-in-service projects, and a $3.6 million lower-of-cost-or-market inventory charge.
- Approximately $2.9 million of the inventory charge related to the start-up of the HB Solar Solution mine; approximately $0.4 million related to the East facility.
- Depreciation, depletion and accretion increased to $19.6 million from $14.1 million.
- Intrepid recorded $1.8 million of restructuring expense after eliminating approximately 7% of its workforce and implementing other cost-reduction measures.
- Other operating income included a $2.6 million reversal of an allowance for New Mexico employment-related tax credits. The company expected to receive $5.9 million of approved credits in the second quarter of 2014.
- Cash flow improved despite the net loss, principally because of noncash depreciation, inventory reductions and tax-related items. Investing cash outflows fell substantially as major capital projects neared completion.
Liquidity, Debt and Capital Investment
- At March 31, 2014, Intrepid held $3.2 million of cash and cash equivalents and $6.6 million of short-term investments. Total current assets were $169.2 million and current liabilities were $51.7 million.
- The company had $150.0 million of unsecured senior notes outstanding, with maturities from 2020 through 2025 and fixed interest rates ranging from 3.23% to 4.28%.
- The $250 million unsecured revolving credit facility had no outstanding balance, but only $157 million was available because of leverage-ratio limitations. Intrepid was in compliance with its debt covenants.
- Intrepid borrowed and repaid $10 million under the demand portion of the credit facility during the quarter for near-term working capital needs.
- Management expected 2014 capital investment of approximately $40 million to $50 million, compared with $31.9 million spent in Q1. The company expected to fund operations and capital programs through operating cash flow, existing cash and investments, and credit-facility availability.
Outlook, Management Commentary and Risks
Management expected HB Solar Solution mine production to ramp through 2014 and into 2015 and 2016, although commissioning, injection rates, evaporation cycles and weather could affect timing. The mine had produced approximately 13,000 finished tons in Q1 and had received approximately $239 million of investment against an estimated total project cost of $240 million to $245 million. West facility recovery projects and the North compaction facility were intended to improve production, product mix and future unit costs.
Management stated that additional operating losses could occur during 2014 if potash prices remained at or below current levels, until pricing improved or the company realized anticipated lower-cost production benefits. Cost-reduction measures were expected to generate annual savings of approximately $12 million to $15 million.
- Key market risks include global potash oversupply, elevated North American inventories, declining selling prices, agricultural demand variability and competition.
- Rail-car shortages, particularly serving Carlsbad, New Mexico, could limit shipments in Q2 2014. Weather and transportation conditions could also affect seasonal demand and solar-mine production.
- Operational risks include lower ore grades, recovery challenges, commissioning delays, production disruptions, labor availability and higher costs for energy, materials and transportation.
- Regulatory and financial risks include mining and environmental requirements, reclamation obligations, permit availability, reserve-estimate changes and potential reductions in credit-facility availability if leverage increases.
- Reclamation security totaled $17.3 million, consisting primarily of surety bonds, and the discounted asset retirement obligation was $21.4 million.
- The filing states that no material legal claims were outstanding and that there were no material changes to the risk factors disclosed in the 2013 Form 10-K.
Investor Verification Checklist
- Verify subsequent potash and Trio® pricing, volumes and margins, particularly whether potash prices recovered after the spring application season.
- Assess HB Solar Solution mine commissioning progress, production ramp, unit costs and any additional inventory write-downs.
- Confirm receipt and collectability of the $5.9 million New Mexico tax-credit payment and the remaining $8.9 million credit receivable, net of allowance.
- Monitor rail availability and its effect on Q2 shipments and customer service.
- Reconcile actual 2014 capital spending with the $40 million to $50 million outlook and evaluate remaining project commitments.
- Track leverage, adjusted EBITDA and available borrowing capacity under the credit facility, including compliance with the 3.5 maximum leverage ratio and 1.3 minimum fixed-charge coverage ratio.
- Evaluate whether restructuring savings offset continued pricing pressure and higher depreciation, production and reclamation-related costs.
