The effective tax rate was 23.3%, compared with a 43.5% tax benefit rate in 2014, when REIT conversion generated substantial deferred-tax benefits. Debt, liquidity and capital allocation
- Total long-term debt, including current maturities, was $4.90 billion at December 31, 2015, with a carrying value of $4.85 billion after deferred financing costs.
- Debt included $775.0 million drawn on the revolving facility, $243.8 million under the term loan, $2.0 billion of 6% and 5.75% notes, foreign-currency notes and other obligations, and $205.2 million under an accounts receivable securitization program.
- Revolving-credit availability was $678.9 million, subject to covenant-based borrowing capacity. The net total lease-adjusted leverage ratio was 5.6 versus a maximum of 6.5; fixed-charge coverage was 2.4 versus a minimum of 1.5.
- Approximately 75% of debt was fixed-rate. A one-percentage-point increase in variable rates would have reduced 2015 net income by approximately $10.5 million.
- Cash dividends paid were $406.5 million in 2015; dividends declared were $1.91 per share. Future dividends remain subject to board approval, legal requirements and debt-covenant limitations.
- Contractual obligations totaled approximately $8.58 billion, including debt, interest, operating leases, capital leases and purchase or asset-retirement obligations.
Material changes versus the prior comparable period
- Reported revenue declined primarily because currency movements reduced revenue by approximately 5.6%; constant-currency revenue growth was 2.1% and internal growth was 1.5%.
- Storage rental remained resilient, while service revenue weakened because stored records and backup media became more archival, reducing retrieval, re-file and transportation activity.
- Foreign-currency losses increased from $58.3 million to $70.9 million, reflecting weakness in several international currencies.
- The company issued $1.0 billion of 6% notes due 2020 and used proceeds largely to redeem higher-cost notes, generating a $27.3 million debt-extinguishment charge.
- Operating cash flow improved despite lower reported earnings, while cash capital spending and acquisition spending declined from 2014 levels.
- Equity declined from $870.0 million to $528.6 million, primarily reflecting dividends and foreign-currency translation losses.
- The company acquired Crozier Fine Arts for approximately $74.2 million, Navbharat Archive XPress for approximately $16.1 million, and completed 12 additional acquisitions for approximately $27.6 million.
Guidance, outlook, commentary, risks and unusual items
Management expected 2016 consolidated revenue internal growth of approximately 1.5% to 2.5%. Expected 2016 capital expenditures were approximately $300 million to $330 million, excluding potential acquisitions and opportunistic real-estate investments; up to $100 million of additional real-estate investment was contemplated.
The company launched a Transformation Initiative expected to continue through the end of 2017, with a stated cost-reduction goal of $125 million. It recorded $10.2 million of related charges in 2015 and expected an additional approximately $7.0 million charge in the first quarter of 2016.
The proposed acquisition of Recall Holdings remained subject to shareholder, court, regulatory, antitrust, listing and other closing conditions. Assuming stated election and exchange-rate conditions, Iron Mountain expected to issue approximately 50.7 million shares, pay approximately $323 million in cash to Recall shareholders and incur an estimated total purchase price of approximately $1.79 billion. Estimated Recall-related operating and capital costs were approximately $380 million, of which $47.1 million had been incurred through December 31, 2015. The estimated cost to close, including cash consideration and repayment of Recall debt but excluding integration costs, was approximately $1.1 billion.
- Major risks include high leverage, refinancing and covenant risk, foreign-exchange volatility, REIT qualification and distribution requirements, and the financing and integration of Recall.
- Customers may shift from physical records and tape storage to digital technologies, while lower retrieval activity may pressure service revenue and margins.
- Data-security breaches, loss or destruction of customer records, privacy regulation, litigation and reputational damage could increase costs or liability.
- Real-estate risks include fire and safety compliance, environmental contamination, natural disasters, lease obligations and facility utilization.
- Management disclosed no material pending legal proceedings, but estimated that aggregate losses beyond amounts accrued for loss contingencies could reach up to approximately $6 million, partly covered by insurance or indemnity arrangements.
Most important facts for an investor to verify
- Whether the proposed Recall transaction closed, its final consideration mix, financing, dilution and integration costs.
- Progress toward the $125 million Transformation Initiative savings target and the related severance and restructuring charges.
- Trends in storage-rental internal growth versus continuing declines in service activity and revenue.
- Debt maturities, covenant headroom, refinancing requirements and the effect of additional Recall financing on leverage.
- Continuing qualification as a REIT, required distributions, taxable REIT subsidiary limitations and potential tax liabilities.
- Foreign-currency exposure, particularly in Europe, Latin America, Australia and Canada, and its effects on reported revenue, earnings, equity and distributions.
- Exposure to data-security incidents, customer-record loss, environmental matters, facility fires and other uninsured or underinsured contingencies.
