Integra Resources Corp. annual report, Q4 FY2022

Business Context and Reporting Period

Integra Resources Corp. is a British Columbia, Canada mineral exploration and development company reporting under IFRS in U.S. dollars. This Form 20-F covers the fiscal year ended December 31, 2022, including fourth-quarter results. Integra has no producing properties or operating revenue. Its primary asset is the DeLamar gold-silver project in southwestern Idaho; BlackSheep and War Eagle are also exploration-stage properties.

The Company has not estimated mineral resources or mineral reserves under SEC Regulation S-K Subpart 1300 and remains dependent on external financing to fund exploration, permitting and development.

Fourth-quarter 2022 net loss was $6.20 million, compared with $7.20 million in the fourth quarter of 2021. Fourth-quarter exploration and evaluation expense was $3.73 million versus $4.81 million in the prior-year quarter. Quarterly revenue was nil throughout the reported periods, so operating and profit margins are not meaningful.

Financing activities provided $19.78 million in 2022, including $11.00 million of gross equity proceeds and a $10.00 million initial draw under the Beedie convertible debt facility, partly offset by financing costs and lease and equipment-financing payments. Investing activities used $0.10 million.

Cash and short-term investments totaled $15.92 million at year-end, including $13.26 million in short-term investments. Approximately 97% was held in U.S. dollars. The Company reported working capital of $1.60 million after classifying the convertible debt liability as current; working capital excluding the convertible debt liability was $11.65 million.

Debt, Reclamation and Other Obligations

  • The Beedie convertible facility has total authorized principal of up to $20 million, with $10 million drawn at December 31, 2022. It bears interest at 8.75% and matures in August 2025, subject to a possible extension. The facility is secured by material assets and guaranteed by subsidiaries.
  • The convertible facility was recorded at year-end with an $8.46 million liability component and a $1.59 million derivative component. The undrawn portion is subject to a 2% annual standby fee, and additional advances require satisfaction of conditions including filing the DeLamar Mine Plan of Operations.
  • Reclamation and remediation liabilities totaled $25.53 million at year-end, including $1.62 million classified as current. The Company spent $1.08 million on reclamation in 2022 and expects approximately $1.5 million of annual reclamation work for the foreseeable future, although the filing indicates this amount should decrease over time.
  • Reclamation and remediation bonds totaled approximately $3.65 million. The DeLamar Project is subject to various royalties, including a 2.5% net smelter return royalty that may reduce to 1.0% after cumulative payments of C$10 million.

Material Changes Versus the Prior Comparable Period

  • Net loss declined by $13.13 million, primarily because exploration and evaluation spending fell by $12.08 million as drilling activity decreased.
  • Cash used in operations decreased by $12.42 million, broadly reflecting lower exploration and development expenditures.
  • Cash increased by $1.58 million during 2022, compared with a $14.72 million decrease in 2021, due mainly to the August 2022 equity financing and initial convertible-debt advance.
  • Shares outstanding increased from 62.17 million at December 31, 2021 to 79.76 million at December 31, 2022, reflecting financing and other share issuances.
  • Exploration and evaluation assets declined from $56.49 million to $40.80 million, primarily due to a $15.86 million reclamation adjustment resulting from changes in inflation and discount-rate assumptions rather than a comparable cash outflow.
  • Reclamation liabilities declined from $41.47 million to $25.53 million, principally because the discount rate increased from 1.90% to 3.97%.
  • The Company reduced its workforce to 44 employees at year-end from 54 at the end of 2021.

Operations, Outlook and Key Risks

During 2022, Integra drilled 1,831 meters for metallurgical work, 1,753 meters for condemnation drilling and 283 meters for geotechnical drilling. The Company also began an 11,000-meter stockpile drilling program intended to expand oxide and mixed material potentially suitable for heap leaching. Exploration results at Sullivan Gulch and Florida Mountain included broad lower-grade mineralization and higher-grade vein intercepts, but these results do not establish SEC-compliant resources or reserves.

Management’s 2023 plans included continued stockpile drilling, a revised oxide resource estimate, continued permitting and engineering, and submission of a DeLamar Mine Plan of Operations targeted for late 2023. The development concept contemplated a stand-alone heap-leach gold-silver operation, with milling of higher-grade non-oxide material beginning later in the projected mine plan. Testing related to the Albion process was placed on hold indefinitely.

The filing states that management expects to require additional financing for the upcoming financial year and concluded that the going-concern basis remains appropriate for at least twelve months after the auditor’s report. Key risks include no operating revenue, recurring negative operating cash flow, dependence on equity or debt financing, commodity-price volatility, potential dilution, debt covenants and acceleration risk, permitting and NEPA/EIS uncertainty, environmental and reclamation obligations, title and access issues, metallurgical variability, uncertain resource and reserve estimates, and community or Indigenous stakeholder opposition.

Subsequent to year-end, Integra announced a proposed at-market merger with Millennial Precious Metals. The transaction was subject to court, exchange, shareholder and financing conditions. In March 2023, Integra completed brokered and non-brokered subscription-receipt financings totaling C$35 million, with proceeds held in escrow pending transaction conditions. The proposed transaction would materially increase the share count and may be followed by a proposed 1-for-2.5 share consolidation, although the filing states no definitive decision had been made regarding the consolidation.

Important Facts for Investors to Verify

  • Confirm the current status and terms of the Millennial transaction, subscription receipts, proposed share consolidation and related dilution.
  • Reconcile the Beedie facility’s drawn and undrawn amounts, conversion terms, covenants, interest accrual and conditions for further advances.
  • Assess cash runway using current cash, ongoing reclamation costs, planned exploration and permitting expenditures, and expected financing needs.
  • Verify whether SEC-compliant mineral resources or reserves have since been established; none were reported under S-K 1300 in this filing.
  • Review the permitting schedule, including the Mine Plan of Operations, anticipated NEPA environmental review and required federal, state and local approvals.
  • Evaluate metallurgical recoveries, royalty burdens, capital and operating-cost estimates, and the economic sensitivity of DeLamar to gold and silver prices.
  • Consider PFIC implications identified by the Company for U.S. investors and obtain independent tax advice.
  • Note that management reported effective disclosure controls and internal control over financial reporting, but the auditor was not required to provide a Section 404(b) attestation because Integra remains an emerging growth company.
