Revenue growth reflected a 13% favorable contribution from price, product and geographic mix, offset by a 2% volume decline in concentrate sales, a 6% foreign-exchange headwind and a 2% unfavorable acquisitions/divestitures impact. Unit case volume, measured on average daily sales, rose 1%. Gross margin improved on pricing and structural changes, partly offset by currency and commodity costs.
Operating income fell mainly because other operating charges increased to $1.57 billion from $111 million. These included a $760 million BodyArmor trademark impairment, a $765 million increase in fairlife contingent consideration and $36 million of productivity-program costs. Other income was $1.51 billion, including gains from bottling refranchisings and the Thailand investment sale; these gains helped support net income despite lower operating income. The effective tax rate was 17.7%, versus 23.2%.
Liquidity, debt and cash flow
- At March 29, cash and cash equivalents were $10.44 billion; short-term investments were $4.76 billion and marketable securities were $1.72 billion. Management reported these resources totaled $16.9 billion, in addition to $4.6 billion of unused backup credit lines.
- Current liabilities were $28.36 billion. Debt comprised $6.05 billion of loans and notes payable, $1.39 billion of current long-term debt maturities and $35.10 billion of long-term debt. Commercial paper outstanding was $5.72 billion.
- Operating cash flow was $528 million, with the increase from prior year attributed to operating results, receivables factoring and a Thailand investee dividend, partly offset by working-capital movements, taxes and incentive payments. Investing cash flow was positive $330 million, including $2.89 billion of proceeds from business and investment disposals. Financing cash flow was positive $406 million.
- Cash and cash equivalents increased from $9.37 billion at year-end 2023 to $10.44 billion. The filing describes liquidity as strong and sufficient for foreseeable operating and cash commitments.
Material changes, outlook and risks
- Q1 refranchisings of bottling operations in the Philippines, India and Bangladesh and the sale of the Thailand investee generated substantial proceeds and gains, but also changed the business mix and reported bottling volumes.
- The $760 million BodyArmor impairment followed weaker-than-expected results and revised forecasts, with higher discount rates also contributing. The remaining trademark carrying value was $3.4 billion; further impairment is possible if results fall short of revised projections or discount rates rise without offsetting performance.
- Management expects 2024 capital expenditures of approximately $2.2 billion and anticipates repurchases to offset employee-stock compensation dilution. It expects full-year 2024 foreign-exchange movements to weigh on revenue, operating income and operating cash flow. The estimated 2024 effective tax rate is 19.0% before significant operating or nonoperating items and excludes the potential impact if the company loses the IRS dispute.
- IRS transfer-pricing dispute: The company maintains it is more likely than not to prevail on appeal, but estimates potential aggregate incremental tax and interest exposure of approximately $16 billion as of December 31, 2023; the potential exposure increased by approximately $500 million during Q1. The company estimates approximately $5.9 billion, including interest through March 29, 2024, could be payable for 2007–2009 after a Tax Court decision, with additional interest thereafter. The recorded reserve was $447 million. An adverse outcome could materially affect financial position, results and cash flows; the company expects to pay the 2007–2009 amount and pursue an appeal.
- Other noted risks include foreign-exchange volatility, commodity costs, seasonal and weather-related demand, and uncertainty in global tax-rule implementation. Management reported disclosure controls were effective and no material change in internal control over financial reporting during the quarter.
Investor verification priorities
- Track the Tax Court decision, appeal timeline, collection/payment amount and updates to the disputed-tax exposure and reserve.
- Assess underlying operating trends excluding the BodyArmor impairment, fairlife contingent-consideration charge and disposal gains; compare unit case and concentrate-sales volume.
- Monitor BodyArmor performance and assumptions supporting its $3.4 billion remaining trademark value, along with the fairlife milestone liability and payment terms.
- Reconcile operating cash flow with earnings and review the effects of receivables factoring, working capital and divestiture proceeds on reported cash generation.
- Verify delivery of the $2.2 billion capital-expenditure outlook and the projected currency impacts on full-year results.
