Financial performance and liquidity

MetricQ1 FY2022Q1 FY2021
Net revenue$679.7 million$651.8 million
Gross margin44.8%46.1%
Operating income$108.2 million$93.2 million
Net income$80.8 million$64.5 million
Diluted EPS$1.40$1.09
Operating cash flow$74.8 million$118.4 million

Revenue rose 4%; operating income increased about 16% and net income about 25%. Gross margin fell 130 basis points as higher product, manufacturing and air-freight costs outweighed some benefit from pricing and channel and product mix. SG&A was $196.4 million, or 28.9% of revenue, versus $207.4 million, or 31.8%, a year earlier. The prior-year period included elevated ERP and IT implementation costs. Interest expense declined to $8.0 million from $11.8 million.

Operating cash flow declined mainly because of working-capital movements, including a $70.2 million cash outflow from inventory and a $34.6 million outflow from accrued liabilities. Investing activities used $5.0 million; financing activities used $59.9 million. Cash increased $8.3 million during the quarter to $193.6 million. Inventory was $432.9 million at quarter-end, up from $363.0 million at December 2021.

At March 2022, long-term debt was $791.6 million, including $400 million principal of Term Loan A and $400 million principal of 4.125% notes due 2029, reported net of financing costs. The company had no revolving-credit borrowings, $486.9 million of revolver availability after letters of credit, and reported compliance with its financial covenants. Total current assets were $985.1 million and current liabilities $491.1 million.

Material changes versus the prior comparable period

  • Wrangler revenue increased 3.4% to $412.4 million, while segment profit declined 10.2% to $75.4 million; operating margin fell to 18.3% from 21.1%.
  • Lee revenue increased 5.6% to $264.2 million and segment profit increased 2.2% to $52.2 million; operating margin decreased to 19.8% from 20.4%.
  • Direct-to-consumer revenue increased 16%, supported by owned e-commerce. U.S. wholesale revenue rose 3%; non-U.S. wholesale revenue rose 4%, including a 3% unfavorable foreign-currency impact.
  • Corporate and other expenses decreased by $21.6 million, chiefly due to lower ERP/IT implementation costs and the end of transition-service agreements with the former parent.
  • Operating cash flow was lower than the prior year, while financing cash outflows were also lower; the prior-year quarter included $100 million of term-loan repayments.

Outlook, management commentary, risks and unusual items

Management expects continued disruption and volatility during 2022. China store closures and distribution disruptions late in the quarter were expected to continue into Q2. Product and raw-material delays, inflationary pressures and air-freight costs remained ongoing challenges. Management said it believed the company was positioned to manage known operational challenges and that cash, operating cash flow and available borrowing capacity were adequate for obligations and planned needs.

Expected 2022 capital expenditures were $35–$40 million, primarily for manufacturing, distribution and IT. The filing does not provide a specific revenue or earnings forecast. The company stated it intended to continue paying cash dividends, subject to relevant considerations; a $0.46-per-share dividend was declared after quarter-end. During the quarter it paid $26.0 million in dividends and repurchased $22.5 million of shares.

Management cited continuing COVID-19 effects, supply-chain disruption, inflation, the Russia-Ukraine conflict and broader economic uncertainty. Other disclosed risks include consumer demand and apparel trends, customer concentration, supplier and distribution dependence, foreign-exchange movements, competition, cybersecurity, and debt and covenant constraints. Management said ordinary-course legal matters were not expected to have a material adverse effect. No restructuring charges were recorded in the quarter; $0.8 million remained accrued at quarter-end.

Important facts for investors to verify

  • Confirm the intended reporting period: the filing covers Q1 FY2022, not Q1 FY2021 as stated in the request metadata.
  • Track whether inventory growth converts into sales and cash, and whether working-capital pressure continues.
  • Monitor gross-margin recovery against product, manufacturing, freight and distribution costs, including the effects of pricing and mix.
  • Assess the duration and financial impact of China disruptions, supply constraints, inflation and foreign-currency movements.
  • Review debt, covenant headroom, capital spending, share repurchases and dividend capacity alongside cash generation.
  • Consider the first-quarter comparison’s ERP-related cost and shipment-timing effects when evaluating year-over-year trends.
