Balance sheet, debt and liquidity

At December 31, 2023, total assets were $6.15 billion, total liabilities $5.45 billion and equity $704.5 million. Outstanding indebtedness was approximately $4.22 billion: $1.95 billion under warehouse and other lines and $2.27 billion of debt obligations, including approximately $989 million of unsecured Senior Notes. Senior Notes had an estimated fair value of $886.5 million versus a carrying amount of $989.3 million.

The company reported $3.1 billion of warehouse and securitization facility capacity, with $1.9 billion outstanding and $1.2 billion available. Facilities generally mature or require renewal during 2024; the securitization facility is scheduled to mature in October 2024. Management said cash and available liquidity sources should fund current operations and origination commitments for the next 12 months, but noted expected covenant amendments or waivers may be needed in 2024. The company was in compliance with its financial covenants and regulatory capital and liquidity requirements at year-end.

Changes, outlook and material risks

  • Cost reduction and restructuring: Staffing fell to 4,250 from 5,194 at year-end 2022. Management announced an additional $120 million annualized cost-reduction target in November 2023, including $100 million in non-volume-related savings, expected to benefit 2024 results.
  • Business strategy: Vision 2025 emphasizes purchase lending, purpose-driven lending, operating efficiency and a simplified organization. The company exited wholesale lending, moved servicing in-house, expanded HELOC availability and established a joint venture with National HomeCorp.
  • Industry outlook, not company guidance: The MBA forecast in December 2023 a 22% increase in U.S. mortgage origination volume to $2.0 trillion in 2024. loanDepot said elevated mortgage rates and low housing inventory continued to weigh on activity; it did not provide company-specific revenue or earnings guidance in the supplied filing text.
  • Cybersecurity incident after year-end: An incident disclosed in January 2024 involved unauthorized access to sensitive personal information of approximately 16.9 million individuals. The company expected $12–$17 million of first-quarter 2024 expenses, net of expected insurance recovery; it did not expect a material full-year 2024 impact. Approximately 20 putative class actions had been filed, and potential losses were not estimable.
  • Litigation: A securities class action concerning IPO and later disclosures reached a settlement in principle; preliminary approval was granted, with final approval scheduled for April 19, 2024. An employment lawsuit remains ongoing; the plaintiff’s initial demand exceeded $75 million, and the court granted the company’s summary-adjudication motion in part and denied it in part.
  • Other key risks: Results are highly sensitive to mortgage rates, origination volumes, secondary-market access, MSR valuations, loan repurchase claims and servicing advances. The company also relies on short-term warehouse funding and lender renewals. Its Class C and D shares carry enhanced voting rights; the Hsieh and Parthenon stockholders together held approximately 94.1% of voting power. The regular dividend has been suspended since March 2022.

Most important facts for investors to verify

  • Whether the announced $120 million annualized savings are achieved, and how those savings compare with any implementation costs or effects on production capacity.
  • Liquidity and covenant status as 2024 warehouse facilities mature, including whether amendments or waivers are obtained on acceptable terms.
  • Trends in loan originations, gain-on-sale margins, cash generation and servicing-portfolio delinquencies as mortgage market conditions evolve.
  • Actual cybersecurity-related costs, insurance recoveries, litigation or regulatory exposure, and any changes to the stated 2024 impact assessment.
  • MSR valuation assumptions and sensitivity: servicing rights were approximately $2.0 billion and were identified as a critical audit matter; Ernst & Young issued unqualified opinions on the financial statements and internal controls.
  • Progress and outcomes in the securities and employment litigation, and any changes to loan repurchase reserves, which were $32.0 million at year-end versus $70.8 million in 2022.
