Net investment income represented approximately 67% of total investment income. Total investment income increased 51%, while total expenses increased 45% to $39.3 million. • Management identified $8.1 million of increased investment income from items considered less consistent or non-recurring, including a $7.4 million increase in dividend income.
  • Net investment income increased 55%, and distributable net investment income increased 56%; per-share increases were moderated by higher weighted-average shares outstanding.
  • Net realized results declined because of a $29.5 million loss from a partial exit in the lower middle market portfolio and a $3.6 million restructuring loss. These were partly offset by gains in Private Loan and Middle Market investments.
  • Portfolio fair value increased $58.7 million. The LMM portfolio increased to $2.113 billion, Private Loan investments increased to $1.491 billion, and Middle Market investments declined to $306.2 million.

Guidance, outlook, risks and unusual items

The filing does not provide formal earnings guidance. Management expects to fund investments and operations through cash flow, existing cash, Credit Facility borrowings, future debt issuance and equity offerings. Future dividends remain subject to Board approval.

In May 2023, Main Street declared a $0.225 per-share supplemental dividend payable in June 2023, regular second-quarter dividends totaling $0.675 per share, and third-quarter regular monthly dividends totaling $0.69 per share. The third-quarter regular dividend represented a 7.0% increase from the comparable period in 2022.

  • Liquidity included $39.8 million of cash and $671.0 million of unused Credit Facility capacity. The Corporate Facility had $394.0 million outstanding against $980.0 million of commitments; the SPV Facility had $170.0 million outstanding against $255.0 million of commitments.
  • Main Street had $334.0 million of SBIC debentures outstanding at a 2.9% weighted-average fixed rate. The first identified principal maturity is in 2024.
  • Unfunded investment commitments totaled $255.3 million, including $228.7 million of loan commitments and $26.6 million of equity commitments.
  • Approximately 97% of total assets consisted of investments carried at fair value, and $4.159 billion of investments were classified as Level 3. Valuations therefore depend substantially on management assumptions, including discount rates, EBITDA multiples and expected principal recovery.
  • Portfolio companies face risks from inflation, labor and supply-chain pressures, recessionary conditions, geopolitical events and higher interest rates. At March 31, 2023, 73% of debt investments at cost had floating rates, while 72% of debt obligations were fixed-rate.
  • PIK interest represented 2.4% of investment income and cumulative dividends not currently paid in cash represented 0.3%. These amounts may create distributions without corresponding current cash receipts.
  • Cash balances of $35.2 million exceeded FDIC insurance limits. Main Street stated that deposits were held at large, high-credit-quality institutions and that the risk of loss was considered remote.
  • Main Street reported compliance with the financial covenants of its Credit Facilities and debt instruments, and its BDC asset coverage ratio was 230% versus a 150% applicable minimum.

Important facts for investors to verify

  • Determine how much of the Q1 investment-income increase is recurring versus the $8.1 million identified as less consistent or non-recurring.
  • Review the $28.4 million net realized loss, including the partial-exit and restructuring losses, and assess whether further write-downs or restructurings may occur.
  • Monitor the 13 non-accrual investments, their fair values, cost exposure and potential effect on future income.
  • Assess Level 3 valuation sensitivity to discount rates, EBITDA multiples, recovery assumptions and portfolio-company performance.
  • Reconcile the $255.3 million of unfunded commitments with available liquidity, borrowing-base restrictions and upcoming debt maturities.
  • Evaluate dividend coverage using recurring net investment income and cash generation rather than reported income that includes unrealized appreciation, PIK income or non-recurring dividends.
  • Review the May 2024 Notes maturity, SBIC maturities beginning in 2024 and the Company’s ability to refinance on acceptable terms.
