Balance sheet, liquidity and capital allocation

  • At March 31, 2021, cash and cash equivalents were $106.7 million. Total debt was $1.614 billion, including $52.5 million current and $1.561 billion long-term; debt increased mainly to fund the PendoTECH acquisition.
  • The company reported $460.7 million of additional borrowing capacity under its credit agreement and said operating cash flow, available credit and cash should cover anticipated working-capital and capital-spending needs for the foreseeable future. It was in compliance with debt covenants.
  • Current assets were $1.080 billion and current liabilities $841.8 million. Shareholders’ equity was $202.6 million, down from $282.7 million at year-end 2020.
  • Operating cash flow was partly offset by $191.5 million of investing cash outflow, including the $185.0 million PendoTECH cash purchase, and $262.5 million of share repurchases. Repurchases covered 224,808 shares at an average $1,167.64; $2.796 billion remained available under the program.

Material changes and unusual items

  • In March, the company acquired PendoTECH, a U.S. supplier of single-use bioprocess sensors, systems and software. The initial cash payment was $185.0 million; additional consideration of up to $20.0 million may be payable based on 2022–2023 financial thresholds. The acquisition added $93.7 million of goodwill and $106.1 million of identified intangible assets; estimated annual amortization for acquired finite-life intangibles is $6.9 million.
  • Q1 2021 other charges included $2.8 million of acquisition costs. The prior-year comparison included a net $3.3 million of other income, versus $0.7 million of other charges in Q1 2021; this line includes foreign-exchange and hedging effects, pension items and other items.
  • China’s external sales grew 44% in local currency, but management noted the comparison benefited from COVID-related weakness in Q1 2020 and expected tougher comparisons during the rest of 2021. Laboratory sales also benefited from biopharma activity and COVID-19 testing and vaccine development/production.

Outlook, commentary and risks

The filing provides no specific full-year revenue or EPS guidance. Management expects 2021 net investments in new or expanded manufacturing facilities of $10–15 million and continues to explore acquisitions, which could add debt. Management described operations and supply chains as functioning with minimal interruption, while cautioning that COVID-19 and global economic conditions remain uncertain and can change quickly.

  • Foreign-exchange exposure: management estimates a 1% strengthening of the Swiss franc against the euro would reduce annual pretax earnings by about $1.6–$1.8 million; a 1% weakening of the Chinese renminbi against the U.S. dollar would reduce annual pretax earnings by about $2.3–$2.5 million. A 5% weakening of the U.S. dollar against debt currencies would increase the reported U.S.-dollar debt value by about $33.3 million.
  • Other stated risks include COVID-19’s duration and economic effects, demand changes, pricing, supply-chain and shipping costs, raw-material availability, currencies, and acquisition outcomes. Management reported no material change in disclosed risk factors and no expected material adverse effect from pending legal proceedings.
  • Restructuring charges were $1.2 million, versus $1.9 million in Q1 2020. The company also recorded a $13.5 million estimated fair value liability for PendoTECH contingent consideration, based on significant unobservable assumptions.

Important facts for investors to verify

  • Whether sales and margin growth persist as COVID-related comparisons normalize, particularly in China and laboratory markets.
  • PendoTECH’s subsequent performance, integration, amortization impact and potential contingent payments.
  • Debt levels, borrowing capacity and the balance between acquisitions and the $262.5 million quarterly repurchase pace.
  • Cash conversion and working-capital trends, including inventory, deferred revenue and the effects of tax-payment timing.
  • Exposure to currency movements, transportation and material costs, and continuing pandemic-related market uncertainty.
