Product sales rose 8% in U.S. dollars and service revenue rose 3%. Gross margin pressure reflected lower-margin Chinese industrial project activity, unfavorable mix and currency; higher volume, pricing and lower material costs partly offset the impact. Net margin was 9.8%, versus 9.4% a year earlier. SG&A declined to 31.3% of sales from 32.4%; R&D increased to 5.4% from 5.3%.
Cash and equivalents were $156.2 million at March 31, down from $235.6 million at year-end 2011. Total debt was $473.7 million, including $28.8 million current; long-term debt was $444.9 million. Cash less total debt implies net debt of approximately $317.5 million. The company reported $531.2 million of remaining credit-facility availability. Current assets were $905.6 million and current liabilities $525.4 million. Operating cash flow less capital expenditures was approximately $2.3 million, a simple derived measure.
Material changes and business trends
- Sales growth was strongest in Asia/Rest of World: local-currency growth was 17% there, compared with 7% in the Americas and 2% in Europe. Asia/Rest of World sales rose 20% in U.S. dollars; Europe declined 1%.
- Chinese Operations external sales increased 17% in local currency and segment profit rose 22% in U.S. dollars. U.S. Operations segment profit rose 7%; Swiss and Western European segment profits were approximately flat or slightly lower.
- Laboratory-related sales, about 47% of total, increased 8% in local currency. Industrial-related sales, about 44%, increased 10%; food-retailing sales, about 9%, decreased 1%.
- Cash flow improved year over year, primarily due to inventory reductions and accounts-receivable timing, partly offset by the timing of payables. Cash declined during the quarter as financing outflows included $63.7 million of share repurchases and net debt repayments.
- The company repurchased 361,777 shares for $63.7 million at an average $176.11 per share. $652.3 million remained under its $2.25 billion repurchase authorization.
Outlook, commentary and risks
- Management expected 2012 local-currency organic sales growth to be below the growth rates achieved in 2011 and 2010. The filing gives no specific full-year revenue or EPS guidance and cautions that Q1 results are not necessarily indicative of full-year results.
- Management said operating cash flow, available credit and local facilities should fund anticipated working-capital needs and capital spending for the foreseeable future. The company continued to explore acquisitions, which could require additional borrowing.
- Management warned that a global recession could adversely affect sales. It also cited currency exposure: a 1% strengthening of the Swiss franc against the euro was estimated to reduce annual pretax earnings by $1.6–$2.2 million. A 10% weakening of the U.S. dollar against currencies in which debt is denominated was estimated to increase its reported dollar value by about $5.1 million.
- Restructuring charges were $0.3 million, versus $0.5 million in Q1 2011; the remaining restructuring accrual was $6.6 million. The company reported ordinary-course legal and environmental proceedings and said it did not expect them, individually or in aggregate, to have a material adverse effect.
- The company reported no material change in previously disclosed risk factors or market-risk information. Management concluded disclosure controls were effective and reported no material quarterly change in internal control over financial reporting.
Important facts for investors to verify
- Whether organic growth and regional demand trends support management’s expectation of slower 2012 growth, particularly given weaker European and food-retailing conditions.
- Whether the gross-margin decline persists and how project mix, pricing, material costs and currency affect profitability.
- Whether operating cash flow remains adequate after working-capital movements, capital investment, buybacks and potential acquisitions.
- Debt levels, credit-facility availability, foreign-currency exposure and the pace and funding of share repurchases.
- The filing’s stated effective tax-rate assumptions and their consistency with reported tax expense and earnings.
