Revenue increased 83% and operating income increased 151%. The comparison is substantially affected by the October 2022 Maersk Drilling acquisition: 2023 includes a full year of the acquired business, compared with only a partial year in 2022. Higher floater dayrates also contributed to growth.
- Fleet metrics: Overall utilization was 69%, down from 77%. Floater utilization was 73% versus 77%, while average floater dayrate rose to $382,041 from $273,500. Jackup utilization was 64% versus 77%, and average jackup dayrate rose to $128,161 from $119,251.
- Operating costs and items: Contract drilling costs were $1.452 billion, up from $897.1 million. Depreciation and amortization rose to $301.3 million, largely reflecting acquired rigs. Merger and integration costs were $60.3 million, down from $84.7 million. 2022 included a $90.2 million gain on asset sales; 2023 recorded a $19.7 million net hurricane recovery.
- Cash flow and capital spending: Investing cash use was $366.5 million, including $409.6 million of cash capital expenditures. Capital additions were $454.3 million. Operating cash flow less cash capital expenditures was approximately $164.8 million.
- Liquidity and debt: Year-end cash was $360.8 million, down from $476.2 million; working capital was $420.1 million. Debt carrying value was $586.2 million, comprising $600 million principal of 8.0% senior notes due 2030. The $550 million revolver had no borrowings outstanding; $7.4 million of letters of credit used facility capacity. Noble reported sufficient liquidity to meet expected needs over the next 12 months.
- Shareholder returns: Noble paid $98.8 million in dividends and repurchased 2.3 million shares for $94.8 million during 2023. The board declared a $0.40-per-share dividend in February 2024.
Backlog, outlook, and management commentary
Year-end contract backlog was approximately $4.8 billion, including $2.2 billion for 2024; 65% of available 2024 days were committed. Backlog is not guaranteed revenue and is exposed to early termination, downtime, contract changes, and dayrate adjustments. ExxonMobil, Aker BP, and Petrobras represented approximately 42.5%, 15.3%, and 12.9% of backlog, respectively.
Management described improving global rig demand and remained encouraged by the ultra-deepwater floater market. It cautioned that North Sea activity remained subdued, shorter-term contracts can reduce effective utilization and increase start-up costs, and additional newbuild rigs could enter the market. Inflation and supply-chain disruption are expected to persist. Noble expects 2024 capital additions, net of reimbursements, of $400–$440 million, including approximately $270–$300 million for sustaining capital. No revenue or earnings guidance is provided in the filing text.
The Noble Faye Kozack contract start-up was delayed and was expected to commence in early third-quarter 2024. Management also noted ongoing repair costs related to rig damage, with further insurance recoveries being pursued.
Risks, contingencies, and unusual items
- Financial reporting controls: Management and the auditor concluded internal control over financial reporting was ineffective at December 31, 2023, due to a material weakness in IT program-change and user-access controls. The weakness had not been remediated as of year-end, although no financial-statement misstatement resulted. Newly implemented controls must operate effectively for a sufficient period before remediation can be concluded.
- Taxes: The 2023 income tax provision was $30.3 million and included $187.2 million of valuation-allowance release benefits, offset by other tax expenses. Reserves for uncertain tax positions, including interest and penalties, were $202.3 million. Separate outstanding tax audit claims totaled approximately $172.1 million; Noble intends to contest them and does not currently expect a material adverse effect.
- Hurricane claims: Personal-injury claims related to Hurricane Ida remain in litigation. Noble cannot predict the outcome; insurance and contractual indemnities may not cover all losses.
- Industry and operating risks: Results depend on oil-and-gas investment, rig supply and dayrates, customer contract performance, and concentrated customers and regions. Operational hazards, inflation, supply constraints, severe weather, insurance availability, regulation, energy-transition pressures, and geopolitical events could affect costs, utilization, or revenue.
- Debt and shareholder considerations: Debt agreements impose financial and other covenants. Dividends depend on board approval and legally available distributable reserves. Warrant exercises and future share issuance may dilute shareholders.
