Q2 net sales rose 8.8%, with daily average comparable-store sales up 7.5% (transaction size +3.9%; transaction count +3.5%). Six-month comparable sales increased 6.9%. Management attributed growth to higher transaction counts and sizes, pricing, new stores, and customer marketing. Q2 gross margin improved modestly, while six-month margin benefited from pricing and promotions and occupancy-cost leverage. Store expense leverage improved; administrative expenses rose faster than sales, primarily on compensation costs.
Six-month operating cash flow was $36.8m, versus $34.9m a year earlier. Property and equipment purchases were $22.2m; investing cash outflow was $22.5m. Financing cash outflow was $21.7m, including $27.3m in dividends. Cash declined $7.4m to $11.0m over the six months.
Liquidity, debt and capital allocation
- At March 31, cash was $11.0m and revolving-facility availability was $62.1m, net of $11.4m drawn and $1.5m of letters of credit. Current assets of $140.9m were below current liabilities of $159.9m.
- Term-loan borrowings were $3.7m, with maturity on November 13, 2024. The $75m revolving facility matures November 16, 2028; commitments are scheduled to decline by $2.5m annually. The facility is secured by substantially all company assets. The company reported compliance with covenants.
- Operating and finance lease liabilities totaled $352.2m. The filing reports $436.1m of undiscounted future lease payments, including $7.4m of binding payments for leases not yet commenced.
- The company paid regular quarterly dividends of $0.10 per share in each of the first two fiscal quarters and a special $1.00-per-share dividend in Q1. The board approved a further $0.10-per-share dividend for payment June 19, 2024. The share repurchase program was extended through May 31, 2026; $8.1m remained available, and no shares were repurchased in the six-month period.
Outlook, risks and notable items
- No specific full-year sales or earnings guidance is provided. Management plans 4–6 new-store openings and 4–6 relocations/remodels in FY2024; during the first half, it opened three stores and relocated/remodeled one. Planned capital expenditures for the remainder of FY2024 are $7.5m–$16.5m.
- Management estimated annualized cost inflation of approximately 2% in Q2 and said pricing strategies had mitigated its impact to date. It cited labor availability and wage costs, supply interruptions, competition, consumer preferences, inflation or recession, and construction constraints as factors that could affect results. Fixed rent and occupancy costs may limit expense leverage.
- A $0.2m store-expense loss followed early termination of a lease for a previously closed store; additional lease-asset impairment charges were $0.1m in the quarter and six-month period. The filing states pending legal proceedings are not expected to have a material adverse effect; self-insurance estimates remain subject to claims experience and assumptions.
- The company said it expects cash, operating cash flow, and revolver availability to meet working-capital needs and planned expenditures. The remaining term-loan maturity and substantial lease commitments are relevant to that assessment.
Investor verification points
- Confirm the term-loan repayment or refinancing plan before its November 2024 maturity and monitor revolver borrowings, availability, and covenant compliance.
- Assess whether comparable-sales growth and margin improvement persist, including the contribution of pricing versus transaction growth and product mix.
- Compare planned FY2024 store openings, remodels, and remaining capital spending with actual execution and cash generation.
- Review dividend sustainability after the special distribution, given lower cash, negative working capital, lease commitments, and debt service needs.
- Evaluate related-party property leases: the filing identifies leases with entities owned by non-independent directors and related family members.
