Material changes versus the prior comparable period
- Revenue increased, driven by a 30.7% increase in vehicle deliveries and continued growth in parts, after-sales services and power solutions. The average selling price declined 15.7%, primarily because of product mix.
- Gross profit and margins declined substantially. Management attributed the margin pressure primarily to lower vehicle selling prices, product mix, expanded power-network costs and higher operating costs.
- Research and development expense increased 23.9% to RMB13.43 billion, mainly due to higher personnel costs. Selling, general and administrative expense increased 22.3% to RMB12.88 billion, reflecting higher employee compensation and marketing expenditure.
- Operating cash burn improved from RMB3.87 billion to RMB1.38 billion, but operations remained cash-flow negative.
- Financing activities generated RMB27.66 billion, principally from the CYVN equity investment, convertible-note issuance and third-party borrowings. CYVN invested approximately US$738.5 million in July 2023 and US$2.2 billion in December 2023; it owned approximately 20.1% of total shares after those transactions.
- Property, plant and equipment increased to RMB24.85 billion from RMB15.66 billion, reflecting manufacturing, power-network and other infrastructure investment.
- Inventory declined to RMB5.28 billion from RMB8.19 billion, while trade and notes payable increased to RMB29.77 billion from RMB25.22 billion.
Guidance, outlook, risks and unusual items
- NIO expects to begin ET9 deliveries in the first quarter of 2025 and stated that it expected to launch a new brand and begin deliveries of its first product in 2024. The filing does not provide a quantified 2024 revenue, delivery or margin forecast.
- Management expects capital expenditures to remain significant as the company expands production, sales and service facilities, charging infrastructure and battery-swap networks.
- NIO has incurred losses since inception and stated that it may continue to report net losses and negative operating cash flow. Profitability depends on scaling deliveries, improving margins, controlling costs and obtaining sufficient external financing.
- Competition and price reductions in China’s EV market may further pressure selling prices and margins. Government purchase subsidies ended after December 31, 2022, although vehicle purchase-tax exemptions continue through 2025 subject to limits.
- The company relies on VIE contractual arrangements for certain internet, autonomous-driving and insurance-related activities. The VIEs contributed insignificantly to consolidated revenue, but changes in PRC laws or enforcement could affect control, consolidation and licensing.
- Warranty liabilities were RMB3.91 billion at year-end, including RMB1.22 billion of warranty expense accrued during 2023. Warranty accrual was identified as the filing’s critical audit matter because of the limited historical claims experience and significant estimation judgment.
- NIO disclosed pending securities class actions. One case received class certification in August 2023, and discovery is ongoing; another consolidated case had a pending motion-to-dismiss decision. The company cannot estimate potential losses.
- The company disclosed a 2022 data-leak incident involving certain pre-August 2021 user and vehicle-sale information, but stated that it was not aware of significant resulting issues or user claims as of the filing date.
- The filing identifies risks from supply-chain concentration, independent-manufacturing execution, battery and ADAS safety, regulatory changes in China and Europe, cybersecurity, foreign-exchange controls, debt refinancing, litigation, and potential future HFCAA trading restrictions if PCAOB inspection access deteriorates.
- Management and the independent auditor concluded that internal control over financial reporting was effective as of December 31, 2023. The filing states that NIO was not expected to be identified as a Commission-Identified Issuer under the HFCAA for 2023.
Investor verification checklist
- Verify delivery growth, average selling price, vehicle margin and gross margin in subsequent quarterly filings, particularly after expanded price competition.
- Assess whether operating cash flow turns positive and whether cash and short-term investments remain sufficient relative to debt maturities, capital commitments and lease obligations.
- Review the February 2024 repayment of the 2024 Notes and repurchase of approximately US$300.5 million principal amount of 2026 Notes, as well as remaining debt maturities and potential equity dilution from convertible notes.
- Monitor the execution and cost consequences of independent manufacturing and the acquired F1 and F2 assets.
- Track ET9 and new-brand launch timing, delivery volumes, product acceptance and the effect on product mix and margins.
- Review warranty claims, recalls, battery-safety events and the adequacy of the RMB3.91 billion warranty reserve.
- Follow the pending securities litigation and any potential settlement or loss disclosure.
- Evaluate PRC regulatory developments affecting VIE arrangements, data transfers, autonomous driving, overseas listings and capital repatriation.
- Review the terms and future exercise of strategic-investor rights in NIO China, including redemption rights that may arise if specified potential IPO milestones are not achieved.
