Revenue growth was principally acquisition-driven: same-store rental revenue fell 1.7%, including $39.9 million of rent reserves; excluding rent deferrals and uncollected rent, management said the same-store decrease would have been 5.1%. Total rental revenue reserves were $52.5 million, versus $2.9 million in 2019. The filing does not present a conventional operating-margin measure.
Net income was affected by $147.2 million of impairment provisions, $52.5 million of rental revenue reserves, a $9.8 million debt-extinguishment loss and $3.5 million of former-CFO severance. Cash distributions paid to common stockholders were $964.2 million, or 82.2% of AFFO; dividends paid per share increased 3.1% to $2.794. The monthly dividend was $0.2345 per share by year-end.
Cash and cash equivalents were $824.5 million at year-end, compared with $54.0 million a year earlier. Total debt on the balance sheet was $8.82 billion; management reported gross borrowings of about $8.85 billion, equal to 28.2% of market capitalization. The $3.0 billion revolving credit facility was undrawn, and the company had no commercial paper outstanding. Debt-service and fixed-charge coverage was 5.1x; the company reported compliance with debt covenants and investment-grade ratings of A3 (Moody’s) and A- (S&P).
Material changes versus the prior period

- Real estate impairment provisions rose to $147.2 million from $40.2 million. Of 2020 impairments, $83.8 million related to 13 theater properties.
- Investment totaled $2.22 billion for 226 acquired properties, plus $84.1 million for 18 U.S. development properties. Total reported acquisition and development investment was $2.31 billion, compared with $3.72 billion in 2019.
- Operating cash flow increased, while net income and diluted EPS declined. FFO and AFFO per share rose modestly despite pandemic-related collection pressure.
- The company raised $1.85 billion through common-stock issuances during 2020 and issued new notes, including $325 million of 0.750% notes due 2026 and $400 million of 1.800% notes due 2033.
Outlook, management commentary and risks
Management said it expected cash, operating cash flow and borrowing capacity to meet liquidity needs for the following 12 months. It planned to continue property dispositions in 2021 and reinvest proceeds if attractive acquisition opportunities were available. The filing gives no quantified earnings or revenue guidance and warns that revenue may decline relative to 2020 while pandemic effects persist.
As of January 31, 2021, 93.6% of fourth-quarter contractual rent had been collected; collections from investment-grade clients were 100.0%, while collections from the top 20 clients were 89.9%. Theater clients represented 5.6% of annualized contractual rent. The company reserved $25.5 million for theater rent and straight-line rent receivables in 2020; 37 theater properties were accounted for on a cash basis, with approximately $2.8 million in monthly contractual rent associated with them. Management cautioned that past collections may not predict future collections.
Subsequent events include a January 2021 $669.6 million common-stock offering and redemption of $950 million of 3.250% notes due 2022. The company expects to recognize an approximately $46 million loss on extinguishment of debt in first-quarter 2021 net income and FFO; the charge is excluded from AFFO. Principal risks include further pandemic-related rent shortfalls, tenant bankruptcies and lease rejections, additional impairments, access to capital and refinancing, interest-rate and foreign-currency exposure, property-market and environmental risks, and maintaining REIT status. Legal claims in the ordinary course were not expected by management to have a material aggregate effect. The auditor issued unqualified opinions on the financial statements and internal controls.
