  • Q2 sales fell 35% year over year and H1 sales fell 30%. Lower volumes across businesses were the main driver; Epoxy also faced weaker pricing.
  • Q2 segment income was $180.1 million for Chlor Alkali Products and Vinyls, a loss of $0.5 million for Epoxy, and $64.7 million for Winchester. Each was below the prior-year quarter.
  • H1 operating cash flow fell $616.2 million year over year, reflecting lower operating results and a $213.7 million working-capital increase. Inventories rose $137.9 million from year-end; accounts payable and accrued liabilities declined $141.1 million.
  • Cash and equivalents were $161.1 million at June 30. Debt, including current installments and finance leases, was $2,726.3 million; $951.3 million was variable-rate debt. Debt to total capitalization was 52.5%, versus 50.4% at December 31, 2022.
  • Olin had $984.6 million available under its revolving credit facility and $120.0 million additional capacity under its receivables facility, subject to the borrowing base. The company reported compliance with debt covenants and no borrowing restrictions at quarter-end.

Changes, unusual items, and capital allocation

  • Segment results were pressured by weaker market demand and volumes. Epoxy was particularly affected by record Asian exports into Europe and North America, as well as prior facility closures. Winchester’s lower commercial sales were partly offset by higher military and law-enforcement sales.
  • Chlor Alkali Products and Vinyls’ Q2 results included a $78.9 million adverse impact from the Freeport, Texas vinyl chloride monomer plant turnaround and subsequent operating issues, including higher costs and lost sales.
  • Q2 and H1 results included a $27.0 million gain on the sale of the domestic private trucking fleet and operations, which generated $28.5 million cash proceeds.
  • Restructuring charges were $19.2 million in Q2 and $80.1 million in H1. The Epoxy optimization plan includes closures and capacity/staff reductions; approximately $50 million of additional charges are expected through 2026. Total remaining accrued restructuring costs were $49.7 million at June 30.
  • H1 capital expenditures were $128.8 million. Olin repurchased 7.1 million shares for $393.0 million and paid $51.8 million in dividends; $1,312.2 million remained authorized under its $2.0 billion repurchase program. Net borrowings were $143.7 million, primarily to fund seasonal working capital.

Outlook, risks, and contingencies

  • Management expected challenging global economic conditions and lower 2023 operating results across all segments compared with 2022. It expected Q3 consolidated operating results to decline sequentially from Q2: chemical results lower, while Winchester was expected to improve on anticipated military growth.
  • Management anticipated continued Q3 Freeport plant issues, weaker caustic soda markets and vinyls-intermediate demand, and ongoing Epoxy demand pressure from Europe and North America. 2023 estimates included capital spending of $200–$250 million, long-term supply-contract payments of $50–$100 million, effective tax rate near 25%, and cash tax rate of 35%–40%.
  • Environmental reserves were $151.8 million at June 30; 2023 environmental spending was estimated at approximately $25 million. Management cautioned that uncertain remediation developments could increase costs and potentially materially affect results or financial position.
  • Olin and other producers face U.S. and Canadian caustic soda price-fixing class-action claims. Olin said losses were not currently estimable and an unfavorable outcome could materially affect financial position, cash flows, or results. Other legal-action accruals were $15.9 million.
  • Other key risks include demand and pricing deterioration, supply-demand imbalances, manufacturing interruptions, input-cost volatility, debt-service and covenant capacity, foreign currency and interest-rate movements, and environmental or regulatory matters. A 100-basis-point increase in SOFR was estimated to raise annual interest expense by $9.5 million, assuming variable debt remained unchanged.

Important facts for investors to verify

  • Whether the Freeport VCM plant’s operating problems and lost sales persist beyond Q2.
  • Whether demand, pricing, and volume trends—especially in Epoxy and commercial ammunition—improve or further weaken.
  • Actual cash generation and working-capital needs relative to the continued repurchases, dividends, capital spending, and debt levels.
  • Timing and total cost of restructuring actions, environmental remediation, and the unresolved caustic soda litigation.
