Material Changes Versus Prior Comparable Period

  • Operating income increased 3.7% in Q3 and 6.1% for the first nine months, with margin expansion attributed to revenue growth, workforce rebalancing and operating efficiencies.
  • Net income attributable to Omnicom was essentially flat in Q3 but increased 1.5% for the first nine months. Diluted EPS increased 2.8% in Q3 and 5.1% year to date, aided by lower weighted-average shares from repurchases.
  • Interest expense increased because Omnicom issued $750 million of 3.625% senior notes in April 2012 and an additional $500 million in August 2012. Total principal of the 2022 notes was $1.25 billion.
  • Revenue growth was materially stronger on an organic and constant-currency basis than reported U.S.-dollar growth because of the stronger U.S. dollar, particularly against the euro, Brazilian real and British pound.
  • The 2011 comparable period included $131.3 million of repositioning charges and a $123.4 million non-cash gain from the remeasurement of the company’s investment in Clemenger Group. No comparable items were recorded in 2012.
  • Goodwill increased to $8,728.6 million from $8,456.3 million at December 31, 2011, primarily reflecting acquisitions and foreign-currency translation. No goodwill impairment was recorded.

Guidance, Outlook, Risks and Unusual Items

  • Management expects near-term revenue, excluding foreign-exchange effects and unforeseen events, to increase modestly in excess of weighted-average nominal GDP growth in major markets.
  • Management expects approximately a 2.5% full-year 2012 foreign-exchange revenue headwind based on October 12, 2012 exchange rates.
  • Management stated that available cash, operating cash flow and credit facilities should fund 2012 discretionary and non-discretionary requirements without additional long-term debt, although capital-market access remains available.
  • Liquidity included a $2.5 billion committed credit agreement expiring October 12, 2016, $878.2 million of uncommitted lines, and no commercial paper or committed-credit borrowings outstanding at September 30, 2012. The company was in compliance with its debt covenants.
  • Convertible note holders may put the 2038 notes for cash on June 15, 2013 and the 2032 notes on July 31, 2013. Management expects sufficient cash and unused credit capacity to fund any repurchases.
  • Key risks include prolonged weakness in Europe or a broader economic downturn, reductions in client spending or payment delays, foreign-currency volatility, credit-market disruption, client defaults on media and production commitments, competition, personnel retention, technology dependence, legal proceedings and potential goodwill impairment.
  • Unrecognized tax benefits were $156.1 million at September 30, 2012, of which approximately $59.4 million could affect the effective tax rate upon resolution.
  • The company reported no material change in market risks or risk factors from its 2011 Form 10-K, and management stated that ordinary-course legal proceedings are not expected to materially affect results or financial position.
