Material changes and operating trends
- Revenue fell $3.0 million year over year. Management attributed the decline mainly to vacancies ($4.0 million impact) and property dispositions ($2.0 million), partly offset by $2.7 million of reimbursements from former tenants.
- Portfolio occupancy, including the JV, was 75.8%, down from 80.4% at year-end 2023; reported occupancy excluding the JV was 75.3%. Occupancy was 83.2% when properties under sale agreements were adjusted out. Annualized base rent including the JV declined to $132.8 million from $141.3 million.
- Impairments of $19.7 million were recorded on two properties, reflecting revised assumptions about leasing, carrying costs, sale likelihood and expected proceeds. The resulting estimated fair value was $10.4 million against a $30.1 million carrying value before impairment.
- Operating cash flow was down $0.4 million year over year, while capital expenditures and leasing costs in investing cash flow increased. FFO and Core FFO both declined year over year.
Outlook, liquidity and risks
- Management said available cash, operating cash flow, asset-sale proceeds and revolver borrowings should meet liquidity needs for the next 12 months. No specific earnings or FFO guidance was provided.
- The revolver had $116.0 million drawn. A May 3, 2024 amendment, after quarter-end, reduced its commitment from $425.0 million to $350.0 million and lowered the minimum unencumbered asset value covenant from $600.0 million to $500.0 million. The filing reports $234.0 million of remaining capacity after the amendment. Orion intends to exercise the revolver extension to May 12, 2026, subject to conditions; the original maturity is November 2024.
- Orion reported compliance with its revolver covenants at March 31, 2024. Its $355.0 million fixed-rate CMBS loan bears 4.971% interest and matures in February 2027. The JV has $136.7 million of non-recourse debt due November 2024; extension options and refinancing are uncertain, which could materially adversely affect Orion’s JV investment.
- Leasing and refinancing are key risks. Leases representing 22.7% of annualized base rent expire in 2024 and 13.2% in 2025. Management cites weak office demand, remote and hybrid work, tenant credit, higher interest rates, and the cost of tenant improvements and concessions. Outstanding estimated leasing commitments totaled $54.3 million, excluding rent concessions; rent concessions brought total listed concessions and leasing costs to $66.3 million.
- The board declared a $0.10 per-share quarterly dividend for Q2 2024. Management expects dividends in 2024 and 2025 to exceed GAAP net income, partly because of non-cash depreciation, amortization and impairment charges; the dividend remains at the board’s discretion.
- Other notable items: April leasing included a four-year U.S. Government renewal for approximately 413,000 square feet in Covington, Kentucky. Management expects to continue selling vacant and non-core assets. No material pending litigation or material change to previously disclosed risk factors was reported, apart from the added debt-extension risk.
Important facts for investors to verify
- Whether Orion satisfies all conditions and completes the revolver extension to May 2026, and how the reduced facility capacity affects liquidity and covenant headroom.
- Whether the Arch Street JV can extend or refinance its $136.7 million November 2024 maturity.
- Lease renewals, occupancy, tenant departures and leasing costs, especially against the 2024–2025 lease expirations and the reported $54.3 million of outstanding commitments.
- Whether additional property impairments or asset-sale proceeds affect reported earnings, liquidity and portfolio occupancy.
- Cash available for dividends and whether the $0.10 quarterly dividend can be sustained while distributions may exceed GAAP income.
