Net financial results improved to a $50 million expense from $189 million of expense in 2021, reflecting $166 million of other financial gains, including foreign-exchange and fair-value effects. Net debt, as defined by the company, was $921 million after subtracting cash and current financial assets measured at fair value. The current ratio was 2.13, compared with 3.29 in 2021. About 83% of borrowings were long-term and 86% were U.S.-dollar-denominated. The company reported compliance with debt covenants.

  • Generation: Revenue $663; operating income $336. Revenue was nearly flat, while operating income declined 4%. Generation gross margin fell to 44% from 46%. Higher spot and Energy Plus sales and Greenwind consolidation were partly offset by expired PPAs, costs, and maintenance.
  • Oil and gas: Revenue $646; operating income $194. Revenue increased 43%, reflecting higher gas and oil prices and volumes. Operating income rose 49%. The segment recorded a $30 million impairment related to Rincón del Mangrullo.
  • Petrochemicals: Revenue $617; operating income $52. Revenue increased 26%, mainly on higher reference prices; gross margin remained 13%, while operating margin eased to 8% from 9%.
  • Holding and other: Revenue $20; operating income $49. Other financial results included a $37 million Ecuador arbitration award recognized in operating income. Segment profit also reflected higher foreign-exchange gains.

Oil and gas production increased year over year: the filing reports oil production of about 5.3 thousand barrels per day and gas production of 346 million cubic feet per day. The filing contains inconsistent aggregate production figures: one section states 53.1 thousand boe per day, while another reports 63.1 thousand boe per day. Proved reserves were 179.4 million boe, up 14% from 2021; 61% were developed and 94% were natural gas. GaffneyCline audited 97% of estimated proved reserves.

Material changes versus the prior comparable period

  • Revenue rose 21%, but operating margin declined from 38.4% to 34.5%, as operating costs and expenses grew faster than revenue.
  • Net income increased to $457 million from $238 million, which included a $75 million loss from discontinued operations in 2021. Continuing-operations profit rose to $457 million from $313 million.
  • Operating cash flow declined 15% to $619 million, with receivables increasing by $233 million among the main working-capital movements cited by management.
  • Investing cash outflow increased to $575 million from $474 million. Purchases of property, plant and equipment were $416 million versus $206 million.
  • Borrowings increased to $1.613 billion from $1.438 billion. The company exchanged $407.1 million face value of 2023 notes for cash and new 2026 notes, extending part of its maturity profile.
  • Acquisitions included the remaining 50% interest in Greenwind and 100% of VAR, adding wind generation assets. The company also sold its Refinor interest.

Guidance, outlook, management commentary, risks and unusual items

Outlook and investment: The board approved a 2023 capital expenditure program of approximately $1.0 billion, expected to focus mainly on gas and PEPE IV and PEPE VI. Management expects gas production growth to support operating cash flow. The oil and gas investment plan is expected to exceed $400 million, focused largely on unconventional gas development. PEPE IV’s 81 MW expansion was expected to complete in the second quarter of 2023. PEPE VI was announced as a three-stage wind project with an estimated total investment above $500 million; the first 94.5 MW stage was expected to enter service in 2024.

Market and regulatory exposure: Pampa’s results are materially exposed to Argentina’s inflation, peso depreciation, exchange controls, import restrictions, regulated energy prices and tariffs, and changing government policy. Argentina’s 2022 CPI inflation was 94.8%; the peso depreciated approximately 72.5% against the U.S. dollar. The filing warns that restrictions could impede foreign-currency debt service, imports, or transfers abroad.

Operational and financial risks: CAMMESA payment delays and dependence on government funding may affect collections and liquidity; the company says payments that should generally settle within 42 days had been taking about 80 days. Other key risks include transmission constraints, fuel availability and cost, concession renewals, hydrological and wind conditions, commodity-price volatility, debt refinancing and covenants, environmental liabilities, cybersecurity, and the ability to replace hydrocarbon reserves.

Unusual items and contingencies: The company recorded a $30 million oil and gas impairment, a $37 million Ecuador arbitration award, and gains from fair-value and foreign-exchange movements. It reported $107 million of provisions for legal proceedings; the filing also describes environmental and other claims for which loss outcomes and amounts are uncertain. No dividends were declared for 2022. The auditor issued an unqualified opinion on the financial statements and concluded internal control over financial reporting was effective; Greenwind and VAR were excluded from the controls audit following their 2022 acquisitions.

Important facts for investors to verify

  • Reconcile the filing’s conflicting 2022 aggregate production figures: 53.1 versus 63.1 thousand boe per day.
  • Check the composition, maturities, interest rates, and foreign-currency access requirements for $1.613 billion of borrowings, including the remaining 2023 notes and exchanged 2026 notes.
  • Assess collection timing and credit exposure to CAMMESA; the filing identifies CAMMESA as approximately 54% of short-term trade receivables.
  • Review delivery, cost, financing, and commissioning assumptions for the $1.0 billion 2023 capital program, PEPE IV, PEPE VI, and gas development commitments.
  • Evaluate the assumptions behind proved reserves, particularly gas prices, development plans, production forecasts, and the Rincón del Mangrullo impairment assessment.
  • Monitor Argentina’s tariff and subsidy decisions, exchange controls, inflation, and their effects on cash conversion, margins, and foreign-currency debt service.
  • Review the $107 million legal-provision balance and significant unprovided or uncertain environmental, tax, and other claims.
