Income rose primarily with portfolio growth and higher LIBOR/SOFR benchmark rates. The portfolio was 100% variable-rate debt; its weighted-average debt yield increased to 10.0% from 7.4%. It included 125 companies versus 110 a year earlier, and was 87% first-lien secured debt, less than 1% second-lien debt, and 13% preferred and common equity. Two investments were on non-accrual, equal to 0.9% of portfolio cost and zero fair value, versus 2.7% of cost and 2.6% of fair value in 2021.

The company invested $607.8 million during FY2022 and received $495.2 million from sales and repayments, compared with $661.1 million invested and $702.1 million realized in FY2021. Net unrealized depreciation on investments at year-end was $13.1 million, compared with net unrealized appreciation of $11.0 million a year earlier.

Cash, debt, distributions, and financing

Operating activities used $50.0 million of cash in FY2022, while financing activities provided $47.7 million; cash declined by $2.3 million. The filing attributes operating cash use primarily to investment activity and financing cash use primarily to debt repayments and shareholder distributions. The company reported $47.9 million in cash equivalents and $197.2 million of unused capacity under its $366 million revolving facility, subject to borrowing-base and regulatory limits.

Principal debt outstanding totaled $678.8 million: $168.8 million under the Credit Facility, $97.0 million of 2023 Notes, $185.0 million of 2026 Notes, and $228.0 million of 2031 Asset-Backed Debt. The reported weighted-average annual cost of debt was 4.5%. The 2023 Notes pay 4.3% and have scheduled principal installments, including 55% of original principal due December 2023. The 2026 Notes pay 4.25% and mature April 2026; the secured asset-backed debt matures in 2031. The Credit Facility matures August 2026, with its revolving period ending August 2024. The company stated it was in compliance with facility covenants at year-end.

FY2022 distributions were $1.14 per share, totaling $46.7 million, all reported as ordinary income; no long-term capital-gain distributions were paid. Net investment income was $1.18 per share. Management intends to continue monthly distributions, but the board determines amounts and the filing gives no assurance they will continue at the same level. The company issued approximately 2.46 million shares through its ATM program in FY2022 for $32.3 million gross proceeds. Common shares closed at $9.60 against NAV of $11.62, a discount of about 17%.

Material changes, outlook, and risks

  • Earnings and NAV: Higher investment income and net investment income were offset by investment valuation declines and realized losses. Net assets from operations fell sharply to $3.5 million from $56.5 million; NAV per share declined by $1.00.
  • Funding and capital: The revolving facility was increased to $366 million in September 2022 from $300 million. The company also issued $85 million of additional 2026 Notes in October 2021 and expanded ATM share issuance. Asset coverage of 178% was above the 150% statutory minimum, but leverage magnifies losses and constrains distributions and borrowing.
  • Management outlook: No numerical earnings, portfolio, or distribution guidance is provided. The stated strategy remains income generation and capital preservation through floating-rate, primarily first-lien investments. Management notes that higher rates can raise loan income, but also increase borrower debt-service burdens; company sensitivity analysis estimates a 1% rate increase would raise annual net interest income by $6.8 million, while a 1% decrease would reduce it by $6.7 million, all else equal.
  • Internal controls: Management identified a material weakness in procedures for timely delivery of portfolio-company financial information to independent valuation providers and concluded internal control over financial reporting was not effective as of September 30, 2022. Management reported no resulting material misstatement, described remediation steps, and said effectiveness would require execution over time. Disclosure controls were also deemed ineffective due to the weakness. The auditor gave an unqualified opinion on the financial statements but did not audit or opine on internal-control effectiveness.
  • Valuation and credit exposure: Most investments are illiquid Level 3 assets valued using significant unobservable inputs; actual sale proceeds may differ materially from reported fair values. The portfolio has below-investment-grade borrower exposure, PIK/deferred-interest risk, and two non-accrual positions.
  • Other risks and unusual items: LIBOR transition, inflation, economic slowdown, Russia’s invasion of Ukraine and related sanctions, COVID-19 effects, refinancing and covenant risks, and conflicts of interest are cited. A $4.6 million tax provision and deferred tax liability arose from unrealized appreciation in the taxable subsidiary. The filing reports no material legal proceedings.

Most important facts for investors to verify

  • Progress and independent validation of remediation for the material weakness in portfolio valuation information controls.
  • Updated portfolio-company credit quality, non-accrual status, realized losses, and fair-value assumptions, particularly for Level 3 investments.
  • Current asset coverage, borrowing-base availability, covenant compliance, and refinancing or repayment plans for the 2023 Notes and other debt.
  • Whether higher floating-rate income is continuing to exceed increased borrowing costs and borrower stress, and whether distributions remain covered by recurring cash income.
  • ATM share issuance, subsequent NAV per share, and the market-price discount or premium to NAV.
