Financial performance and position

Revenue$0$0

General and administrative expense$1.3 million$2.5 million

Cash used in operating activitiesSix-month total: $17.7 million
  • No revenue was recorded in either comparable period; profit margins are therefore not meaningful.
  • Compared with the prior-year quarter, quarterly R&D expense fell from $11.3 million and net loss improved from $13.2 million. For the six-month period, R&D expense declined from $21.9 million and net loss improved from $25.7 million. Management attributed the R&D decrease mainly to completion of the Rekynda Phase 3 trials.
  • At December 31, cash and cash equivalents were $12.1 million and available-for-sale investments were $1.4 million, totaling $13.5 million. Current assets were $14.3 million versus current liabilities of $19.6 million, a working-capital deficit of about $5.3 million.
  • Notes payable had $18.0 million principal outstanding and a $17.6 million balance-sheet carrying value. The venture loans bear interest at one-month LIBOR, subject to a 0.50% floor, plus 8.50%; Palatin reported compliance with loan covenants.
  • Six-month financing activities provided $21.8 million, including $23.9 million net proceeds from August and December 2016 equity offerings, offset by debt and lease payments. Operating cash use was lower than the prior-year six-month amount of $23.4 million, partly reflecting increased accounts payable.

Material developments, outlook and risks

  • After quarter-end, Palatin signed an exclusive North American Rekynda license with AMAG. The agreement became effective February 2, 2017, when Palatin received a $60 million upfront payment. AMAG may also reimburse up to $25 million of eligible U.S. NDA-related development and regulatory costs; additional payments include up to $80 million tied to regulatory milestones, up to $300 million tied to sales milestones, and tiered royalties in the high-single-digit to low-double-digit range.
  • Palatin remains responsible for development and regulatory work needed to file the U.S. NDA, while AMAG has North American commercialization rights and substantial control over development and commercialization decisions. The filing says the two Phase 3 trials met their co-primary efficacy endpoints; the open-label safety extension continued. FDA approval is not assured.
  • Management stated that, including the AMAG upfront payment, existing resources were expected to fund planned operations through at least June 30, 2018. This is not a profitability forecast: Palatin expects continued losses and says it will need further funding for other candidates and potentially for costs beyond AMAG’s reimbursement cap.
  • Key risks include regulatory approval and additional-study requirements, clinical and manufacturing execution, AMAG’s ability and willingness to advance and commercialize Rekynda, financing availability, and the absence of recurring revenue unless a product is approved and commercialized. The filing reports no current legal proceedings and effective disclosure controls.
  • Equity financing and warrant exercises present dilution risk. Common shares outstanding increased to 133.4 million at December 31 from 68.6 million at June 30; 137.9 million were outstanding on February 9, 2017. The filing also reports substantial outstanding warrants, including low-exercise-price warrants.

Important facts for investors to verify

  • Cash runway assumptions and whether spending, reimbursement receipts, or development plans differ from management’s expectations through June 30, 2018.
  • Debt repayment schedule, interest exposure, and any covenant or default developments.
