Material changes versus prior year
- Revenue grew across regions and customer classes. Applied Testing increased 14%, Pharma 7%, Molecular Diagnostics 5%, and Academia 4%.
- Reported growth included contributions from Exiqon and OmicSoft acquisitions. Consumables and related revenues rose 7%; instruments rose 2%.
- Operating performance improved, with gross margin increasing two percentage points and operating income rising. Net income nevertheless fell because of the sharp swing in income taxes.
- QIAGEN issued $400 million of 0.500% cash convertible notes due 2023 and completed a German private placement with approximately $331 million of proceeds before issuance costs. It also paid $243.9 million to shareholders through a synthetic share repurchase and repurchased approximately $61 million of shares.
Outlook, commentary, and risks
- Outlook: The filing provides no specific numeric FY 2018 revenue or earnings guidance. Management said existing cash, operating cash flow, and available facilities were expected to fund planned operations and expansion over the coming year, while noting that an economic downturn or lower sales could pressure cash generation.
- Strategic priorities: Management emphasized QuantiFERON-TB, NGS and GeneReader, QIAsymphony, personalized healthcare and companion diagnostics, liquid biopsy, and bioinformatics. QuantiFERON sales exceeded $175 million and NGS portfolio sales exceeded $115 million in 2017; QIAsymphony placements surpassed 2,000.
- Tax reform: The 2017 U.S. Tax Act reduced the corporate tax rate to 21% beginning in 2018 and limited the deduction for net interest expense. QIAGEN recorded provisional tax impacts, including a $60.8 million valuation allowance against U.S. interest carryforwards; management said final effects could differ as its analysis continued.
- Unusual costs and contingencies: Acquisition-related litigation settlements totaled $49.2 million in 2017, including $45.3 million recorded in general and administrative, restructuring, integration and other expense. The filing reports $47.1 million of estimated liabilities for uncertain tax positions, including interest and penalties, and up to $18.5 million of contingent acquisition payments, of which $11.5 million was accrued.
- Debt and dilution: Cash convertible notes are cash-settled and have accounting-related derivative liabilities and non-cash interest that make reported interest expense higher than coupon payments. Associated warrants could dilute shareholders if the stock price exceeds their exercise prices. The company reported compliance with debt covenants and had approximately $511.6 million of undrawn credit facilities.
- Key operating risks: New-product development and adoption, competition, regulatory approvals, reimbursement and healthcare cost controls, research funding, acquisitions and integration, foreign exchange, cybersecurity and privacy compliance, and reliance on certain single-source components could affect results. The new EU IVD regulatory framework and GDPR requirements were upcoming compliance matters.
- Legal proceedings: Management believed pending ordinary-course litigation was unlikely to materially affect the company as a whole, but cautioned that litigation outcomes are uncertain and could adversely affect results or cash flows.
Important facts for investors to verify
- Review the tax-note detail and subsequent updates to the provisional Tax Act accounting, valuation allowances, and uncertain tax positions.
- Confirm debt maturities, cash-settlement terms and derivative accounting for the 2019, 2021 and 2023 notes; assess the potential effect of warrants and other share-based awards.
- Track whether 2017 sales growth and improved operating margins continued, particularly in QIAsymphony, GeneReader/NGS, QuantiFERON and companion diagnostics, while monitoring U.S. HPV and China portfolio changes.
- Assess the cash impact of the litigation settlements, restructuring actions, acquisitions, capital spending, share repurchases, and the proposed STAT-Dx acquisition.
- Compare reported operating cash flow with earnings and determine whether working-capital changes, taxes, and acquisition or integration costs are recurring.
- Check the audited financial statements and notes for full debt, tax, litigation, derivative, and acquisition disclosures; the filing reports unqualified audit opinions and effective internal control over financial reporting as of December 31, 2017.
