Material changes and operating performance
- Sales increased 6%, with consumables and related revenues up 6% and instruments up 7%. The company cited organic expansion and the STAT-Dx acquisition.
- All reported customer classes except Applied Testing grew: Molecular Diagnostics rose 7%, Pharma 6%, Academia 6%, and Applied Testing was approximately flat. Applied Testing was affected by the veterinary assay divestiture; excluding that impact, the company reported growth in forensics.
- QuantiFERON-TB franchise sales rose 21% to $223 million. Companion-diagnostic co-development revenue increased 36% to $58 million. U.S. HPV sales fell 33% to $19 million.
- General and administrative, restructuring, integration and other costs fell 29% to $141.2 million. Management attributed much of the decline to lower litigation-related charges: $10.5 million in 2018 versus $45.3 million in 2017.
- Interest expense increased to $67.3 million from $49.7 million. Other expense included $12.3 million of net foreign-currency losses; the filing also reports investment gains and impairments.
- Net income and EPS comparisons were affected by tax and accounting items. Adoption of ASC 606 increased reported 2018 revenue by $9.4 million and net income by $7.9 million; prior-year figures were not adjusted. The opening retained earnings adjustment for ASC 606 was $1.3 million.
Outlook, commentary, risks and unusual items
- Management said cash from operations, cash on hand and available financing were expected to fund planned operations and expansion during the coming year, while cautioning that weaker sales or limited access to financing could require reduced or delayed investment.
- Management targeted $300 million in QuantiFERON-TB sales by 2020, following 2018 franchise sales of $223 million. QIAstat-Dx U.S. launch was expected in 2019 subject to regulatory approvals; digital PCR launch was targeted for 2020. These are forward-looking plans, not assured outcomes.
- R&D expense was $161.9 million, up 5%; management expected spending to rise with product development and regulatory submissions. Further restructuring and integration costs were expected in 2019.
- In 2018 QIAGEN acquired STAT-Dx for approximately $148.8 million cash plus contingent consideration. After year-end, it acquired N-of-One for approximately $26 million and Formulatrix digital-PCR assets for $125 million cash, with approximately $135.9 million of milestone payments due in 2020.
- The 2019 cash convertible notes mature in March 2019. The balance sheet classifies $503.1 million of long-term debt as current at December 31, 2018. The company reported $488.5 million of undrawn credit facilities and compliance with applicable debt covenants.
- Convertible-note accounting creates substantial non-cash interest and potential earnings volatility. Related call options are intended to offset conversion-related cash payments, but warrants may dilute shareholders if the share price exceeds their exercise prices.
- Key disclosed risks include product-development and adoption delays, competition, regulatory approvals and reimbursement, customer research funding, foreign exchange, acquisitions and integration, cybersecurity and privacy, supplier or manufacturing disruption, tax exposures, intellectual-property litigation and significant debt. LIBOR-based agreements may require changes as LIBOR is phased out.
- Litigation accruals were $6.0 million; management estimated possible losses of $5.7 million to $7.4 million and said outcomes above accruals could adversely affect results. Unrecognized tax benefits were $55.8 million, with accrued interest of $4.1 million; contractual disclosure separately estimated uncertain tax liabilities, including interest and penalties, at $59.9 million.
- Auditors issued unqualified opinions on the consolidated financial statements and internal control over financial reporting; management also concluded disclosure controls and internal controls were effective as of year-end.
Important facts for investors to verify
- Review the debt maturity schedule and refinancing or repayment plans for the $503.1 million current portion, including the 2019 convertible notes.
- Track cash generation, working-capital movements and whether the improved gross and operating margins persist.
- Assess actual uptake, regulatory approvals and consumables pull-through for QIAstat-Dx, NeuMoDx, GeneReader and planned digital-PCR products.
- Monitor QuantiFERON-TB sales against the 2020 target, and evaluate the trajectory of U.S. HPV sales and Applied Testing after portfolio changes.
- Check acquisition milestone payments, integration costs and the commercial contribution of STAT-Dx and post-year-end acquisitions.
- Review the full commitments and contingencies disclosures, including tax audits, litigation, contingent consideration and potential dilution from warrants and equity compensation.
