Six-month operating cash flow was $248.4 million, compared with $192.5 million in the prior-year period. Investing cash outflow was $115.3 million, including $81.6 million of capital expenditures and $33.7 million of equity-method investments. Financing cash outflow was $1.224 billion, primarily reflecting $1.205 billion of share repurchases. Adjusted capital expenditures were $95.6 million for the six months.

Cash and cash equivalents were $417.0 million at July 29, 2023, down from $1.508 billion at January 28, 2023. Including restricted cash, total cash was $420.6 million. Total debt, excluding non-recourse real-estate loans and restricted cash in management’s net-debt presentation, was approximately $2.503 billion, resulting in reported net debt of $2.086 billion. Debt consisted principally of $1.965 billion of Term Loan B, $496.3 million of Term Loan B-2, and $41.9 million of convertible notes due 2024.

RH had no ABL borrowings and reported approximately $453.8 million of net availability under its asset-based credit facility, after $27 million of outstanding letters of credit. The Term Loan B and B-2 mature in October 2028; the remaining 2024 convertible notes mature in September 2024. Management stated that existing cash, operating cash flow, and available financing should be sufficient for obligations and capital needs for more than the next 12 months.

Material changes versus the prior comparable period

  • Quarterly revenue declined 19.3%; six-month revenue declined 21.0%, primarily due to lower demand following the pandemic-driven surge in home spending.
  • RH Segment revenue declined 19.9% in the quarter and 21.9% year to date. Waterworks revenue declined 8.8% in the quarter and 4.2% year to date.
  • Gross margin decreased 530 basis points in the quarter and 510 basis points year to date. RH attributed the decline primarily to heavier discounting of discontinued product collections and occupancy deleverage from lower revenue.
  • Operating margin declined to 18.9% from 23.6% in the quarter and to 16.3% from 22.6% year to date.
  • Interest expense increased to $44.4 million from $26.3 million in the quarter and to $84.2 million from $47.1 million year to date, reflecting higher term-loan interest rates. The filing estimates that a 100-basis-point rate change would affect annual interest expense by approximately $39 million.
  • Prior-year results included $23.5 million of quarterly and $169.6 million of year-to-date losses on extinguishment of debt. These charges did not recur in 2023.
  • RH repurchased and retired 3.699 million shares for approximately $1.205 billion during the quarter at an average price of $325.65 per share. Approximately $245 million remained authorized for future repurchases, reducing cash and contributing to stockholders’ deficit of $284.6 million at quarter-end.
  • The company completed a reorganization affecting approximately 440 roles and recorded $7.6 million of related charges during the first six months.
  • RH opened RH England at the Historic Aynho Park in June 2023, marking its initial European expansion. The company also continued investments in new Galleries, hospitality, real estate, and expanded product collections.

Guidance, outlook, commentary, and risks

  • Management expects fiscal 2023 adjusted capital expenditures of approximately $225 million to $275 million, primarily for new Design Galleries, expansion, and infrastructure.
  • Management believes the Gallery platform could support an annual revenue opportunity of $5 billion to $6 billion and describes a longer-term global revenue opportunity of $20 billion to $25 billion; these are strategic aspirations, not guaranteed guidance.
  • Management cited inflation, higher interest and mortgage rates, financial-market volatility, potential recession, and a sustained housing-market downturn as factors contributing to weaker demand.
  • Consumer spending has shifted from home furnishings toward travel and services as pandemic conditions eased. Housing-market weakness and negative equity-market trends could further reduce demand.
  • International expansion, hospitality, real-estate development and joint ventures, new Gallery formats, and major product initiatives require substantial investment and carry execution and funding risks.
  • The company is exposed to floating-rate debt, refinancing and liquidity risk, lease obligations, foreign-exchange risk, legal proceedings, product-liability claims, and regulatory matters. Management stated that no material off-balance-sheet commitments existed at July 29, 2023.
  • RH recorded an $8.0 million legal-settlement charge in the quarter and maintains reserves for probable and estimable legal contingencies. The ultimate cost of litigation could differ materially from recorded amounts.
  • The previously disclosed material weakness in controls over earnings-per-share presentation and disclosure was reported as remediated as of July 29, 2023. Disclosure controls were considered effective.

Facts investors should verify

  • Whether revenue and demand trends stabilize after the 19% to 21% year-over-year declines and whether elevated discounting continues to pressure gross margin.
  • Liquidity after the $1.205 billion share repurchase, including cash generation, ABL availability, and compliance with debt covenants.
  • The company’s ability to fund the $225 million to $275 million fiscal 2023 capital-expenditure plan while servicing approximately $2.5 billion of debt and significant lease obligations.
  • Repayment or refinancing plans for the $41.9 million of 2024 convertible notes due in September 2024.
  • Sensitivity of earnings and cash flow to further interest-rate increases, including the filing’s estimate of approximately $39 million of annual interest-expense impact per 100 basis points.
  • Execution, returns, and financing requirements for RH England, future international Galleries, hospitality projects, and real-estate joint ventures.
  • Potential developments in legal proceedings, tax matters, and other contingencies, including whether reserves remain adequate.
