Same-store NOI growth2.6% consolidated; 2.5% at SITE’s share—
  • Rental income was essentially flat at $537.1 million. Fee and other income declined to $9.2 million from $15.2 million, primarily reflecting lower joint-venture fees following asset sales.
  • Net income attributable to SITE Centers rose to $265.7 million from $168.7 million, mainly due to $219.0 million of net gains on real-estate dispositions, versus $46.6 million in 2022. The increase in reported earnings therefore substantially reflects asset-sale gains.
  • Year-end portfolio occupancy was 92.0%, versus 92.4% in 2022; average annualized base rent per occupied square foot increased to $20.35 from $19.52. New-lease cash spreads were 29.5% and renewal spreads 6.5%.
  • Year-end unrestricted cash was $552.0 million; restricted cash was $17.1 million. The $950 million revolving credit facility had no borrowings outstanding, subject to borrowing conditions.
  • Consolidated debt was $1.626 billion, down from $1.707 billion; weighted-average maturity was 2.5 years and the weighted-average rate was 4.3%. Debt was fixed-rate after the term-loan hedge. Preferred shares totaled $175 million.
  • Operating cash flow fell $18.7 million year over year. Investing activities provided $559.9 million, driven substantially by property-sale proceeds; financing activities used $250.6 million.

Changes versus the prior year

  • Revenue decreased 1.1%, while common-share net income increased 61.5% largely because disposition gains were much higher.
  • FFO declined 4.3% and Operating FFO declined 2.2%, reflecting property dispositions, lower joint-venture income and fees, and higher interest and general and administrative costs, partly offset by rent growth and acquisitions.
  • The company sold 17 wholly owned centers for gross proceeds of $854.5 million and acquired 12 convenience centers for $165.1 million. It also sold five joint-venture centers for $112.2 million gross ($22.4 million at its share).
  • Occupancy edged down, while rent per occupied square foot increased. General and administrative expense rose to $50.9 million from $46.6 million, including $5.0 million of restructuring-related costs.

Outlook, risks and notable items

  • SITE Centers plans to spin off its convenience assets into a separate REIT, Curbline Properties Corp., targeted for around October 1, 2024. At year-end, 65 wholly owned convenience assets were expected to be included. The transaction remains conditional and may be delayed, changed or abandoned.
  • The company obtained a commitment for a $1.1 billion mortgage facility secured by approximately 40 properties. It expects to use facility proceeds and additional asset-sale proceeds to repay its unsecured debt before the spin-off. Closing is subject to conditions; the company is not obligated to draw the facility. The contemplated shift from unsecured to secured financing and its implications for ratings, costs and flexibility merit attention.
  • Management expects to pursue operations-led value creation and, depending on market conditions, further asset sales after the separation. It cited rent increases, lease-up, rent commencements and redevelopment as portfolio growth opportunities, but provided no specific earnings or FFO guidance.
  • Management described tenant demand as solid, particularly from value- and convenience-oriented retailers, while noting bankruptcy-related vacancies, elevated leasing capital needs and weaker prospects for re-leasing theater space. Inflation, higher rates, consumer spending and financing-market conditions remain risks.
  • There were no consolidated debt maturities in 2024; scheduled consolidated principal maturities were approximately $483.5 million in 2025, $401.0 million in 2026 and $651.6 million in 2027. Joint-venture debt and refinancing risks are additional exposures.
  • The company reported no impairment charges in 2023, compared with $2.5 million in 2022. Property impairment assessments rely on significant management estimates. Legal proceedings were not expected to have a material adverse effect. The auditor issued an unqualified opinion and identified real-estate impairment indicators as a critical audit matter.
  • Common dividends declared were $0.68 per share for 2023, including a $0.16 special dividend paid in January 2024. The first-quarter 2024 dividend was declared at $0.13 per share. Future dividends remain subject to board discretion, cash flow, financing terms and other factors.

Important facts for investors to verify

  • Progress, final terms and tax treatment of the Curbline spin-off, and whether the $1.1 billion mortgage facility closes on expected terms.
  • Post-spin debt, interest expense, credit ratings, covenant headroom and the use of proceeds from planned asset sales.
  • Underlying operating trends apart from disposition gains: FFO, same-store NOI, occupancy, leasing spreads and joint-venture contributions.
  • Upcoming lease expirations and tenant concentration, including the impact of bankruptcies and theater vacancies, and the capital required to backfill space.
  • Dividend sustainability and restrictions on distributions under debt and preferred-share terms.
