  • Revenue declined 5.7%. SaaS and subscription revenue was $93.2m, down 0.7%; non-subscription revenue was $34.6m, down 17.0%.
  • Content & Platform revenue was $98.1m, down 0.5%, and its operating loss narrowed to $23.3m from $31.0m. Instructor-Led Training revenue fell 19.6% to $29.7m, while its operating loss narrowed to $0.5m from $4.4m.
  • Operating expenses decreased 11.3% to $151.6m, including lower amortization and restructuring charges. The company remained loss-making despite improved operating and net results.
  • Operating cash flow fell by $6.5m year over year, which management attributed primarily to the timing of working-capital settlements. Capitalized internal software costs were $4.4m; property and equipment purchases were $0.2m.
  • At April 30, current assets were $318.5m and current liabilities $350.8m, a working-capital deficit of $32.3m. Cash plus restricted cash totaled $149.6m.
  • Debt included $593.0m of term-loan principal and $42.4m drawn under the accounts receivable facility. The term loan is scheduled to mature July 2028; $569.0m of principal is shown due in fiscal 2029. The receivables facility permits up to $75.0m of borrowing, subject to eligible receivables, and has a stated maturity of December 27, 2024 or an earlier contractual trigger.

Material changes, outlook, and risks

  • Management attributed the revenue decline, particularly in Instructor-Led Training, to weaker demand—especially in Europe—and a higher reseller mix, for which revenue is recorded net of fees.
  • The company recognized a $7.7m non-cash gain from interest-rate swap fair-value changes, versus a $0.3m gain a year earlier. The swaps are not designated for hedge accounting, so fair-value movements flow through earnings. The swaps cover $300m of variable-rate debt through June 2027; management reports a fixed cash interest rate of 8.94% on that portion.
  • Restructuring charges were $1.0m versus $5.2m a year earlier, substantially severance costs in the current period. Management said most restructuring actions were completed but further actions remain possible.
  • Management said available internal and external liquidity should fund operations and expected cash needs for at least the next 12 months. The filing provides no numerical revenue or earnings guidance.
  • A shareholder derivative action alleges that directors and controlling shareholders caused Skillsoft to overpay for Codecademy. The company cannot estimate a possible loss; it reported no material litigation accruals and does not expect current proceedings to materially affect results.
  • The former CEO’s employment ended May 9, 2024, and a separation agreement was executed May 23, 2024. The filing does not quantify the financial impact of this transition.
  • Management reported no goodwill impairment indicators in the quarter. Goodwill was $317.1m and net intangible assets $511.4m. The filing cautions that weaker profitability expectations, higher discount rates, or adverse market conditions could lead to future impairment.
  • Management identified interest-rate and foreign-currency exposures. A hypothetical 100-basis-point rate change was estimated to affect annualized pre-tax interest expense by approximately $2.9m; a hypothetical 10% currency-rate change was estimated to affect annualized pre-tax income by approximately $3.0m.

Important facts for investors to verify

  • Whether demand and revenue trends improve, particularly in Instructor-Led Training and Europe, and whether subscription revenue remains stable.
  • Cash conversion and working-capital movements, including the decline in operating cash flow and deferred revenue.
  • Debt-service and refinancing plans, especially the large fiscal 2029 principal payment and the receivables facility’s stated December 2024 maturity trigger.
  • How much reported earnings improvement reflects recurring operations versus non-cash swap valuation gains and lower amortization or restructuring expense.
  • Developments in the Codecademy shareholder litigation and any costs or liabilities associated with the CEO separation.
  • Potential dilution: the filing lists 4.087m potentially dilutive securities, excluded from diluted loss per share because they were anti-dilutive; common shares outstanding were 8,182,809 on June 4, 2024.
