H&G$536.5 millionDown 8.6%$72.5 million13.5%
HPC$1,243.3 millionDown 9.3%$43.1 million3.5%
  • GPC: Sales were pressured by lower aquatics demand, elevated retailer inventories and foreign exchange. Profitability improved through pricing, lower distribution costs, improved fulfillment and cost reductions.
  • H&G: Adverse weather, lower point-of-sale activity, cautious retailer inventory planning and a weak spring cleaning season reduced sales and profitability. Operating loss was $(5.0) million, including a $56.0 million intangible-asset impairment.
  • HPC: Lower consumer demand, competition, reduced distribution and Russia-related effects pressured sales. Tristar-related products experienced high retail inventory, lower direct-to-consumer sales, returns, promotional deductions and inventory losses. HPC recorded a $111.1 million goodwill impairment and $64.7 million of intangible-asset impairment.

Cash Flow, Liquidity and Capital Structure

  • Cash flow from continuing operations was $8.0 million for SBH, compared with $(231.5) million in fiscal 2022. Working-capital improvement, particularly inventory reduction, was a key contributor.
  • Total cash flow from operations, including discontinued operations, was $(409.7) million, reflecting $(417.7) million of cash used by discontinued operations.
  • Continuing-operations investing cash flow was $3,191.9 million, including $4,334.7 million of net proceeds from the HHI divestiture.
  • Fiscal 2023 debt repayments totaled $1,646.8 million, including repayment of the $392.0 million term loan, $715.0 million of revolver borrowings and redemption of $450.0 million of 5.75% notes due 2025. The Company also repurchased $61.4 million principal amount of senior notes, recognizing a $7.9 million gain.
  • Cash and cash equivalents were $753.9 million, and short-term investments were $1,103.3 million, at September 30, 2023.
  • Debt, net of current portion, was $1,546.9 million, versus $3,144.5 million at September 30, 2022. Remaining principal debt consisted primarily of notes due 2026, 2029, 2030 and 2031, plus finance leases.
  • Revolver availability was $586.9 million at September 30, 2023, net of $13.1 million of letters of credit. A subsequent October 2023 refinancing reduced the revolver capacity to $500.0 million and extended maturity to October 2028; stated availability after that amendment was $486.9 million.
  • The Company paid $500.0 million under an accelerated share repurchase agreement and an additional $34.7 million through open-market purchases. The quarterly dividend remained $0.42 per share, or $1.68 annually.

Management expects operating cash flow, cash balances and available credit to fund operating and capital-expenditure requirements for at least the next 12 months. The filing states that the Company was in compliance with its debt covenants at September 30, 2023.

Material Changes and Unusual Items

  • The HHI divestiture materially changed the Company’s portfolio, balance sheet and reported earnings. Proceeds were used principally for debt reduction, share repurchases and short-term investments.
  • Continuing-operations results included $111.1 million of HPC goodwill impairment, $120.7 million of intangible-asset impairment, $20.6 million of HPC product disposals, $7.7 million of HPC product-recall costs and $35.4 million of restructuring and optimization costs.
  • Total strategic transaction and business-development costs were $27.5 million, including Tristar integration, HHI separation and HPC separation initiatives.
  • The Company recorded $9.9 million of restructuring charges, primarily related to headcount reductions and other optimization activity.
  • Inventory declined to $462.8 million from $780.6 million, but the filing indicates that HPC continued to face excess and obsolete inventory risks.
  • The Company is evaluating a potential separation of HPC into an independent appliances business. The filing does not provide a definitive transaction structure, timing or completion certainty.
  • The Black+Decker license agreement expires June 30, 2025, including a sell-off period. Minimum annual royalties ceased to apply beginning January 1, 2024 through expiration.

Outlook, Risks and Contingencies

  • Management expects continued uncertainty from inflation, labor costs, freight and commodity prices, foreign exchange, interest rates, retailer inventory actions and geopolitical conditions.
  • Key customers represent significant sales concentration: two customers accounted for 33.9% of consolidated sales in fiscal 2023, and two customers represented 39.8% of trade receivables at year-end.
  • The Company relies heavily on third-party manufacturers and suppliers, particularly in Asia, creating exposure to tariffs, shipping disruption, supplier financial distress, quality issues and geopolitical events.
  • H&G remains exposed to weather-driven seasonality, while retailer inventory discipline and consumer demand can materially affect all segments.
  • HPC’s operating performance, the Tristar integration, product recalls, brand transitions and potential further impairment of Rejuvenate and PowerXL tradenames remain significant areas of risk.
  • The Company has $121.1 million of unrecognized tax benefits, a $333.4 million deferred-tax valuation allowance and $640.9 million of U.S. federal NOL carryforwards, much of which may be limited or expire unused.
  • Environmental remediation liabilities were $5.4 million; product-liability liabilities were $3.0 million; and product-recall liabilities were $6.0 million at September 30, 2023.
  • The Company is implementing a global SAP S/4 HANA ERP system through fiscal 2025. Management reported effective disclosure controls and internal control over financial reporting, but implementation creates execution and control-transition risk.
  • KPMG issued unqualified audit opinions on the consolidated financial statements and SBH’s internal control over financial reporting. Critical audit matters involved HPC goodwill impairment and Rejuvenate and PowerXL tradename impairment.

Investor Verification Checklist

  • Verify post-divestiture organic sales, margins and cash conversion for GPC, H&G and HPC.
  • Assess whether HPC’s Tristar-related inventory, recall, product-disposal and brand impairment issues have been fully resolved.
  • Reconcile reported net income with continuing-operations earnings and exclude the nonrecurring HHI gain when evaluating sustainable profitability.
  • Confirm the October 2023 refinancing terms, revolver availability, covenant headroom and future interest expense.
  • Review the final settlement of the accelerated share repurchase, including the additional 1.3 million shares expected to transfer in November 2023.
  • Monitor the Black+Decker license expiration and potential impact on HPC revenue, production and royalties.
  • Evaluate customer concentration, retailer inventory levels, foreign exchange exposure and dependence on Asian third-party suppliers.
  • Review tax audits, uncertain tax positions, NOL limitations and potential realization of deferred tax assets.
