Segment results
| Segment | Revenue | Operating income/(loss) | Notable item |
|---|---|---|---|
| Consumer Products | $4,690.4 million | $474.1 million | Adjusted EBITDA $800.6 million; 17.1% margin |
| Insurance | $836.2 million | $43.5 million | Net investment loss of $235.0 million |

| Asset Management | $22.2 million | $(103.1) million | RadioShack-related and other loan losses |
- Consumer Products: Sales rose 5.9%, driven by acquisitions of AAG, European IAMS and Eukanuba, Salix and Tell, partly offset by $229.8 million of foreign-exchange pressure and lower battery sales. Gross margin increased to 35.6% from 35.4%.
- Insurance: Net investment income increased 11.4% to $918.3 million and the net investment spread improved to 2.0% from 1.8%. However, derivative losses, lower realized securities gains, RadioShack exposure and lower market-related gains materially reduced reported results. Insurance AOI declined 28.0% to $111.2 million.
- Energy: Oil, NGL and natural-gas prices declined sharply. Average realized prices fell to $51.42 per barrel for oil, $21.15 per barrel for NGLs and $2.80 per Mcf for natural gas. Adjusted EBITDA declined to $28.9 million from $63.3 million.
- Asset Management: Salus stopped underwriting new loans after March 31, 2015 and shifted to servicing and collecting its existing portfolio. Delinquent loans totaled $125.5 million, with a $56.6 million allowance at year-end.
Material changes versus the prior period
- Spectrum Brands acquired Tell for $30.3 million, European IAMS and Eukanuba for $115.7 million, Salix for $146.8 million and AAG for approximately $1.4 billion. AAG contributed $160.5 million of revenue and $21.8 million of operating profit after its May 21, 2015 acquisition.
- Spectrum Brands financed AAG with $1.0 billion of 5.75% notes and a $575 million equity offering, in which HRG purchased 49% of the shares offered. Spectrum Brands also refinanced its debt, including new term loans and a $500 million revolver.
- HRG acquired the remaining 25.5% economic interest in Compass for $118.8 million, increasing its economic ownership to 99.8% and producing a $141.2 million remeasurement gain.
- Compass recorded a $485.1 million ceiling-test impairment, primarily from lower commodity prices and the higher full-cost pool following the acquisition of the remaining Compass interest.
- Salus recognized substantial credit losses, including a $101.0 million impairment associated with the RadioShack bankruptcy. Its CLO was restructured, reducing CLO debt by $152.6 million.
- FOH filed for Chapter 11 bankruptcy in April 2015. HRG recorded $60.2 million of goodwill and intangible impairments and a $38.5 million gain upon deconsolidation.
- HRG issued $260.0 million of additional 7.875% secured notes and $140.0 million of additional 7.75% senior notes. HRG’s year-end parent debt was $1,754.4 million.
Guidance, outlook, commentary and risks
- HRG expected Fiscal 2016 corporate cash requirements to be funded by cash, investments and subsidiary distributions. Corporate cash, cash equivalents and investments were approximately $331.3 million at September 30, 2015, while expected Fiscal 2016 subsidiary dividends were approximately $51.3 million before $9.0 million of interest payments made for HGI Energy.
- Spectrum Brands expected Fiscal 2016 capital expenditures of approximately $110 million to $120 million and expected to fund operations through cash flow, $247.9 million of cash at year-end and revolver availability.
- Compass expected continued pressure from low oil and gas prices. Its borrowing base was reduced from $340.0 million to $320.0 million in November 2015, with $307.0 million drawn after a subsequent repayment. HGI Funding provided limited guarantees and potential equity or debt-support commitments, subject to stated caps.
- Subsequent to year-end, Compass agreed to sell certain Holly, Waskom and Danville assets for $160.0 million, with proceeds expected to reduce Compass debt. Closing remained subject to customary conditions.
- Subsequent to year-end, Anbang agreed to acquire FGL for $26.80 per share in cash. HRG owned approximately 47 million FGL shares. The transaction required multiple regulatory approvals and could trigger a $51.5 million termination fee under specified circumstances. If completed, HRG would lose future FGL dividends but receive merger proceeds.
- Key risks include holding-company dependence on subsidiary distributions, substantial debt and restrictive covenants, commodity-price volatility, foreign-exchange exposure, acquisition integration, insurance reserve and rating risks, reinsurance counterparty risk, credit losses at Salus, regulatory changes, litigation, environmental liabilities and cybersecurity or systems failures.
- FGL’s gross unrealized losses on its available-for-sale portfolio increased to $498.4 million from $109.8 million. FGL also recognized approximately $81.4 million of other-than-temporary impairment charges during Fiscal 2015.
Most important facts for an investor to verify
