SQM 2022 Form 20-F Summary
Reporting period: Fiscal year ended December 31, 2022. This is an annual report, not a standalone fourth-quarter filing; it separately reports fourth-quarter lithium sales and price information. Financial statements are audited and prepared under IFRS as issued by the IASB.
Business context
Sociedad Química y Minera de Chile S.A. (SQM; NYSE: SQM) produces lithium and derivatives, iodine, specialty plant nutrients, potassium products and industrial chemicals, principally from Chilean mineral deposits. It sells in approximately 110 countries. Products originating from the Salar de Atacama accounted for 80% of consolidated revenue in 2022, making access to those resources central to the business.

Management reported US$3.6 billion of cash and cash equivalents plus time deposits, US$694 million of unused, uncommitted working-capital credit lines and a net financial debt-to-adjusted-EBITDA ratio of 0.0x. The filing reports a 28.7% effective tax rate for 2022.
Lithium and derivatives generated US$8,152.9 million, or 76.1% of revenue, versus US$936.1 million in 2021. Sales volume rose 55% to 156,800 metric tons and average prices rose approximately 462% to about US$52,000 per metric ton. Fourth-quarter lithium sales were approximately 43,000 metric tons at an average price of US$58,800 per metric ton. Iodine revenue increased 72.3% to US$754.3 million; specialty plant nutrition revenue rose 29.0% to US$1,172.3 million; potassium revenue increased 4.9% to US$437.2 million; and industrial chemicals revenue increased 25.1% to US$165.2 million.
Material changes versus 2021
- Revenue increased 274% and profit for the year increased approximately 561%, primarily reflecting sharply higher lithium prices and increased lithium volumes, as well as higher iodine and other product prices.
- Gross margin expanded from 38.1% to 53.6%. Cost of sales rose 203.6%, but less rapidly than revenue; it included US$3,273.0 million of Corfo-related expenses, compared with US$247.6 million in 2021.
- Operating cash flow increased to US$4.1 billion. Cash and cash equivalents rose, while the current ratio decreased from 4.62 to 2.29.
- Financial debt increased overall, with current financial liabilities rising to US$523.0 million from US$51.3 million. Total equity grew to US$4.9 billion.
- The revenue mix shifted strongly toward lithium: lithium and derivatives rose from 33% to 76% of revenue, while specialty plant nutrition fell from 32% to 11%, iodine from 15% to 7%, and potassium from 15% to 4%.
Outlook, risks, contingencies and unusual items
- Outlook and investment: Management estimated 2023 capital expenditures of approximately US$1.2 billion and a 2023–2025 investment plan of approximately US$3.4 billion. It expected Chilean lithium carbonate and hydroxide capacity to reach approximately 210,000 and 40,000 metric tons, respectively, during 2024. Management forecast lithium demand growth of more than 20% in 2023 and demand approaching 1.5 million metric tons by 2025. It expected iodine-market growth of 1–2% in 2023, a partial recovery in specialty plant nutrition demand that would not return to 2021 levels, and potassium sales volumes potentially exceeding 500,000 metric tons in 2023.
- Project execution: Management expected spodumene production at Mt. Holland by the end of 2023 and lithium hydroxide production in the first half of 2025; it expected the Sichuan refinery to be completed in the second quarter of 2023. These are forward-looking expectations, not reported outcomes.
- Salar de Atacama rights: The Corfo agreements expire December 31, 2030. SQM had used approximately 38% of its permitted cumulative lithium extraction and sales limit by year-end 2022. The Chilean government’s April 2023 National Lithium Strategy introduced uncertainty about future state participation and any extension or renewal of SQM’s rights.
- Tax and legal matters: SQM Salar had paid US$127.1 million in disputed specific mining tax assessments for 2012–2018 and was challenging them; rulings in two cases sent the matters back for further proceedings, while a third claim was upheld at first instance. A further US$36.8 million assessment for 2019 was paid and the company intended to appeal. SQM estimated possible assessments of approximately US$745.3 million for 2020 and later years, excluding interest and fines, and had not recorded that potential amount in profit or loss. Separately, a US court entered a US$48.1 million judgment against SQM North America in the Pomona groundwater case; the company appealed. The filing says the environmental compliance plan for Salar de Atacama remained subject to court review following an indigenous association’s claim.
- Other key risks: Lithium and other commodity-price volatility, competitor capacity additions, shipping constraints, energy and input costs, foreign-exchange movements, water availability and environmental permitting, labor disruptions, and Chilean regulatory or tax changes. The Corfo agreements’ progressive lease-payment rates also cause costs to rise with product prices.
- Unusual items and audit: A fourth-quarter 2022 review led to US$34.1 million of impairment charges related to iodine and derivatives intangible assets and associated goodwill. PwC issued an unqualified audit opinion and concluded internal control over financial reporting was effective. Critical audit matters included bulk-inventory volume estimates and assessment of environmental, tax and legal contingencies.
Most important facts for investors to verify
- Whether lithium prices, sales volumes and margins remain strong, given lithium’s 76% share of 2022 revenue and the extreme year-over-year price increase.
- Progress, cost and timing of the Chile, Mt. Holland and China expansion projects relative to the stated capacity and investment plans.
- Developments in negotiations with Corfo and Chilean policy affecting Salar de Atacama operations after 2030, including any change in state participation.
- Outcomes and potential financial effects of the disputed mining-tax assessments, Pomona appeal, environmental proceedings and other disclosed claims.
- Near-term liquidity and debt maturities: the filing’s debt schedule shows approximately US$314.9 million due in 2023, including a US$300 million note due in April 2023.
- Dividend policy and cash distributions: US$2.2 billion of dividends were paid in 2022, and future payments depend on earnings, financial ratios, investment needs and Board decisions.
