Reported revenue increased 4.1%; management’s adjusted local-currency comparison, which excludes foreign exchange and specified divested operations, costs, and income, showed 9.7% growth. Higher selling prices supported margins and earnings, partly offset by increased raw-material and other manufacturing costs. Management said inflation did not materially affect FY2022 results or financial position, while noting ongoing input-cost pressures.
Segments
- Flavors & Extracts: Revenue $738.0 million, approximately flat year over year; operating income $105.4 million, up about 7%. Natural Ingredients faced unfavorable volumes; pricing and Flavors, Extracts & Flavor Ingredients performance supported results.
- Color: Revenue $604.0 million, up about 11%; operating income $114.6 million, up about 11%. Pricing, volume, and the Endemix acquisition contributed; reported foreign exchange was a headwind.
- Asia Pacific: Revenue $143.6 million, up about 6%; operating income $29.5 million, up about 12%. Pricing and volume gains were partly offset by currency and higher costs.
Financial position, debt, and liquidity
- Cash and cash equivalents were $20.9 million at year-end, versus $25.7 million in 2021. Total assets were $1.98 billion.
- Inventory rose to $564.1 million from $411.6 million. Management attributed the increase to strategic inventory built to manage supply-chain disruptions; this working-capital investment was the main reason operating cash flow fell to $12.1 million.
- Long-term debt was $630.3 million on the balance sheet; current borrowings were $20.4 million. The debt note reports $631.1 million of total long-term debt obligations before debt fees and current-portion presentation.
- Approximately $231.7 million of contractual long-term debt maturities fall in 2023. The company reported $206.7 million available under its revolving facility and $25.5 million under other bank lines at year-end; the revolving facility matures in 2026. Sensient said it was in compliance with its loan covenants.
- Net cash used in investing activities was $98.4 million; financing activities provided $86.2 million, including a $157.2 million net increase in debt. Dividends paid were $68.9 million, or $1.64 per share. No shares were repurchased in 2022.
Material changes and unusual items
- Endemix, a Turkish natural-colors business, was acquired in October 2022 for $23.3 million in cash, net of debt assumed. Purchase accounting remained preliminary at year-end; the company expected to finalize estimates in 2023.
- FY2022 GAAP earnings included $2.5 million of divestiture-related income. FY2021 included $14.1 million of divestiture-related costs and $1.9 million of Operational Improvement Plan income; the company’s non-GAAP reconciliations also exclude divested-product results.
- Previous disposals included inks and yogurt fruit preparations in 2020 and fragrances (excluding essential oils) in 2021. The fragrances sale included a non-cash loss of $11.3 million in 2021, primarily from foreign-currency translation reclassification.
- FY2022 operating cash flow was sharply lower as inventory absorbed $159.0 million of cash, compared with $36.3 million in 2021.
Outlook, risks, and contingencies
- The filing estimates a 2023 effective tax rate of 24%–26% before discrete items. It does not provide a clear 2023 revenue, earnings, or EPS guidance range.
- Management said cash generated from operations and existing debt capacity are expected to fund operations, capital spending, dividends, and potential acquisitions or repurchases. The company cited refinancing or repayment options for upcoming debt maturities.
- Key risks include raw-material availability and cost, inflation in energy, freight and labor, foreign-exchange movements, and the Russia-Ukraine conflict. The company specifically identified sunflower oil sourcing and reduced onion harvest yields following drought and flooding as supply concerns.
- Other disclosed risks include customer and supplier concentration in certain product lines, intense competition and customer pricing pressure, manufacturing or logistics disruptions, natural disasters and water constraints, regulatory and product-liability exposure, cybersecurity, and changing ESG requirements.
- The company is involved in ordinary-course claims and litigation. Management stated that known matters were not expected to have a material adverse effect on financial position, while cautioning that outcomes could materially affect results or cash flows in a particular period. Environmental remediation costs are also disclosed for the former Granada, Spain site.
- The annual goodwill impairment test found reporting-unit fair values at least 90% above carrying values; no impairment charge was recorded in 2022. The auditor identified deferred-tax-asset valuation allowances as a critical audit matter because realizability depends on judgments about future taxable income and tax-planning strategies.
