Revenue growth primarily reflected increased contributions from the Reno, Nevada medical office building completed in 2023 and the McAllen, Texas medical office building acquired in Q3 2023. Net income increased despite higher interest expense. Interest expense rose to $4.5 million from $3.7 million, driven mainly by higher average borrowing costs and greater average revolver borrowings.

Q1 2024 operating cash flow exceeded the $10.0 million of dividends paid by approximately $1.7 million. Investing cash outflows were $8.9 million, including $5.9 million of investments in unconsolidated LLCs and $3.3 million of real estate additions. Financing cash outflows were $3.3 million, including dividends and mortgage repayments, partially offset by $7.1 million of net revolver borrowings.

Balance sheet, debt and liquidity

  • Cash and cash equivalents were $7.7 million at March 31, 2024, compared with $8.2 million at December 31, 2023.
  • Net real estate investments were $438.9 million, and the financing receivable from UHS was $83.2 million.
  • Total assets were $596.2 million; total liabilities were $399.7 million; and total equity was $196.5 million.
  • Revolver borrowings were $333.7 million under a $375 million facility, leaving $41.3 million of available capacity at quarter-end. The facility matures July 2, 2025, with options for two additional six-month extensions.
  • Non-recourse mortgage notes payable were $32.5 million, net. A $12.2 million mortgage maturing April 10, 2024 was subsequently repaid using revolver borrowings.
  • The Trust was in compliance with all credit facility covenants. Reported total leverage was 44.4%, secured leverage was 4.0%, unencumbered leverage was 45.2%, and fixed-charge coverage was 3.1x.
  • Interest-rate swaps had a combined notional amount of $165 million and a net fair-value asset of $7.5 million at March 31, 2024. Management estimates that a 1% change in applicable interest rates would affect net income by approximately $1.7 million, after giving effect to the swaps.

Material changes versus the prior comparable period

  • Revenue increased $1.9 million, primarily from newer and acquired medical office properties and higher property-level income.
  • Net income increased $841,000. Benefits included higher property income, lower vacant-property expenses and the absence of $265,000 of Chicago demolition costs incurred in Q1 2023.
  • Interest expense increased $850,000 because the average effective revolver rate increased to 6.96% from 6.06% and average revolver borrowings increased to $327.1 million from $300.9 million.
  • Operating cash flow increased $1.7 million, while investing cash outflows increased $3.5 million, principally because Q1 2024 included greater investments in unconsolidated LLCs and no comparable $3.5 million advance repayment received in Q1 2023.
  • The quarterly dividend increased to $0.725 per share from $0.715 per share.
  • There were no acquisitions or divestitures during Q1 2024.
  • The Trust funded a $5.7 million repayment of the Grayson Properties II construction loan through partner equity contributions; the related $3.1 million letter of credit was terminated.

Guidance, outlook, risks and unusual items

The filing does not provide formal earnings or revenue guidance. Management expects operating cash flow, cash, available revolver capacity and access to capital markets to provide sufficient resources for the next 12 months, including REIT distributions and planned capital requirements. Future dividend levels will depend on operating results, capital commitments, debt repayments and REIT distribution requirements.

  • UHS concentration is a significant risk: UHS-related tenants accounted for approximately 41% of Q1 2024 revenue, and UHS provides advisory and management personnel.
  • Lease renewals and purchase options create potential future revenue volatility. Certain UHS hospital leases expire in December 2026, while others expire in 2033 and 2040. UHS or related joint ventures may renew or purchase certain properties.
  • Higher interest rates have increased borrowing costs and may adversely affect net income, property values, refinancing, capital access and future investment capacity.
  • Healthcare tenants face labor shortages, wage pressure, inflation, reimbursement uncertainty, regulatory changes and potential declines in patient volumes.
  • The Trust owns two vacant properties—a specialty facility in Evansville, Indiana and a vacant parcel in Chicago, Illinois—and continues to incur operating costs while marketing them.
  • Other identified risks include healthcare regulation and reimbursement changes, economic and real estate market weakness, cybersecurity incidents, litigation involving UHS or other operators, REIT qualification requirements and access to capital markets.
  • The Trust reported no material changes to previously disclosed risk factors, no changes materially affecting internal control over financial reporting and no Rule 10b5-1 or non-Rule 10b5-1 trading arrangements adopted, modified or terminated during the quarter.

Most important facts for investors to verify

  • Revolver refinancing and liquidity before the July 2025 maturity, including the impact of the April 2024 mortgage repayment.
  • UHS tenant credit quality, lease renewals, purchase-option activity and the continuing 41% revenue concentration.
  • Sustainability of dividends relative to operating cash flow, capital spending, LLC investments and debt service.
  • Effects of variable interest rates after the September 2024 expiration of two swaps and the July 2025 revolver maturity.
  • Occupancy, leasing progress and carrying costs for vacant properties, as well as capital requirements for the Reno medical office development and other investments.
  • Performance and funding requirements of the four unconsolidated LLCs/LPs, including the remaining Grayson Properties II debt and the Trust’s potential $10.2 million investment commitment.
