- Revenue mix: Service revenue was $3.915 billion (+11%), data processing $4.356 billion (+14%), international transaction revenue $3.019 billion (+8%), and other revenue $692 million (+18%). Client incentives, which reduce revenue, rose 20% to $3.348 billion.
- Drivers: Management attributed revenue growth mainly to cross-border volume, processed transactions and payments volume, partly offset by higher client incentives. International revenue grew 14%, versus 2% in the U.S. Currency movements had no material impact on revenue growth.
- Volume and transactions: Processed transactions increased 9% to 57.472 billion. Payments-volume data in the filing covers the three months ended September 30, 2023 (the quarter used to assess service revenue): Visa nominal payments volume rose 9%, including 18% growth in cross-border volume excluding transactions within Europe.
- Cash flow: Operating cash flow was $3.614 billion, down from $4.171 billion. Capital spending on property, equipment and technology was $267 million, implying operating cash flow less that spending of approximately $3.347 billion, versus $3.922 billion a year earlier. Investing cash outflow was $1.889 billion; financing cash outflow was $4.379 billion.
- Liquidity and debt: Cash and cash equivalents were $13.591 billion at December 31, down from $16.286 billion at September 30. Cash, cash equivalents and restricted cash totaled $19.636 billion. Long-term debt was $20.703 billion, up from $20.463 billion; no current debt maturities were reported. Management said projected liquidity sources should cover needs for more than 12 months.
- Capital returns: Visa repurchased 15 million Class A shares for $3.609 billion on a settlement-date basis and paid $1.060 billion in dividends. Remaining repurchase authorization was $26.4 billion. The board declared a subsequent quarterly dividend of $0.52 per Class A share.
Material changes and notable items
- GAAP operating expenses declined largely because the prior-year quarter included a $341 million litigation provision; current-quarter litigation provision was $9 million. Excluding specified items, non-GAAP operating expenses rose 7%, and non-GAAP diluted EPS was $2.41 versus $2.18 (+11%). These company-defined non-GAAP measures exclude items including acquired-intangible amortization and acquisition costs.
- Personnel costs increased 11%, reflecting higher headcount and compensation; marketing expense declined 12%, mainly because prior-year FIFA World Cup spending did not recur. Interest expense rose to $187 million from $137 million, while investment income and other increased to $275 million from $24 million.
- The effective tax rate was 19%, compared with 16%; the prior-year period benefited from a $142 million tax benefit following reassessment of an uncertain tax position.
- After quarter-end, on January 16, 2024, Visa acquired Pismo Holdings, a cloud-native issuer-processing and core-banking platform, for $1.0 billion in cash. Purchase-price allocation was not complete at filing.
Outlook, risks and contingencies
- The filing provides no specific financial guidance for the remainder of FY2024. Management expects liquidity to remain sufficient for projected needs for more than 12 months and expects to continue quarterly cash dividends, subject to board approval.
- Litigation: Accrued litigation was $1.471 billion at quarter-end. Visa faces U.S. interchange multidistrict litigation, individual merchant claims and European merchant litigation concerning interchange rates and fees. Visa reported settlements with merchants representing approximately 73% of Visa-branded sales volume of merchants that opted out of the U.S. damages-class settlement; approximately 600 European merchants had outstanding claims. The company says outcomes and possible losses for certain matters cannot be estimated clearly and could materially affect results, financial position or cash flows.
- Settlement guarantee: Visa’s guarantee exposure varies with unsettled transactions. Maximum daily settlement exposure during the quarter was $133.2 billion and average daily exposure was $83.0 billion; Visa stated it has historically experienced minimal losses. Collateral held to manage settlement exposure totaled $6.501 billion.
- Other risks include changing client incentives, foreign-exchange movements, tax examinations and uncertain litigation outcomes. Management reported no significant changes in market risks from September 30, 2023. Disclosure controls were assessed as effective.
