VISTA GOLD CORP quarterly report, Q2 FY2014

Vista Gold Corp. — Q2 2014 Form 10-Q

Reporting period: Three and six months ended June 30, 2014. Vista is an exploration-stage gold company focused on evaluating and advancing projects, principally the Mt Todd project in Australia. It reported no revenue in the periods presented. Unless stated otherwise, financial amounts below are U.S. dollars in thousands.

Profit margins are not meaningful because the company had no revenue. Operating expenses fell year over year, reflecting cost reductions and the completion in early 2013 of substantial Mt Todd study, environmental and water-treatment work. The much smaller reported net losses also reflect substantially lower fair-value losses on Midas Gold shares: the six-month 2014 period included a $1,422 unrealized gain, versus a $47,322 loss in the comparable 2013 period. No deferred income tax benefit was recorded in 2014, compared with $15,374 for the first half of 2013.

First-half investing cash inflow was $10,792, principally from selling 16 million Midas Gold shares for gross proceeds of $11,640. Financing cash outflow was $6,344, primarily repayment of the 2013 credit facility, which was fully repaid in March. Cash increased by $236 during the six months. The company held 15.8 million Midas Gold shares, approximately 11.2% of Midas Gold, valued at $11,852 at June 30; the shares were subject to a lockup through February 2015. Used mill equipment held for sale was carried at $6,500, based on a Level 3 valuation.

Material changes, outlook and risks

  • Management estimated cash burn below $2,000 per quarter for the rest of 2014, assuming a normal start to the Northern Territory wet season, and said the company could sustain that rate through 2015. It nevertheless expected to need additional financing in 2015. Management said Midas Gold shares could provide funding into 2016 if other sources proved insufficient.
  • Potential receipts include approximately $850 in Guadalupe de los Reyes option payments over the following seven months and a conditional $6,000 Los Cardones payment. The Los Cardones payment deadline was extended to January 30, 2015; purchasers could elect not to pay it, in which case the project would revert to Vista. The company expected to receive $500 in extension consideration around August 1, 2014.
  • Under the Guadalupe de los Reyes agreement, Cangold may earn a 70% interest through $5,000 of payments over three years and other obligations. Future payments are optional to Cangold and are not assured.
  • At Mt Todd, Vista focused on water management, permitting and project optimization. Management said current gold prices did not justify completing the feasibility study or developing the project; it estimated a study would take about four months and cost approximately $2,500 once started. Discussions with the Northern Territory government over sharing water-management and monitoring costs were ongoing.
  • The financial statements are prepared on a going-concern basis, but continued operations depend on funding and future profitable operations. Management cautioned that asset recoverability and the availability of financing are uncertain. Capital raising is difficult for non-producing mining companies; the company also cited gold-price, permitting, environmental, currency and asset-monetization risks. It does not hedge foreign-currency exposure.
  • The company reported no material pending litigation, no material changes to previously disclosed risk factors, and effective disclosure controls as of quarter-end.

Important facts for investors to verify

  • Whether the $6,000 Los Cardones payment is made by January 30, 2015, and whether the expected $500 extension consideration was received.
  • Timing and receipt of Cangold option payments, and whether the Guadalupe de los Reyes agreement remains in good standing.
  • Actual cash burn versus management’s estimate, financing needs, and the timing and ability to monetize Midas Gold shares or other assets.
  • Progress on Mt Todd environmental approvals and government cost-sharing discussions, and whether gold-price conditions support restarting feasibility work.
  • Whether the $6,500 carrying value of mill equipment held for sale is realizable, and the impact of gold and foreign-exchange movements on asset values and liquidity.
