Arbutus Biopharma Corporation — FY2022 Form 10-K
Reporting period: Fiscal year ended December 31, 2022. This is an annual report, not a standalone fourth-quarter report. Amounts are in U.S. dollars unless noted.
Business context
Arbutus is a clinical-stage biopharmaceutical company focused primarily on chronic hepatitis B (HBV), with an early coronavirus drug-discovery program and exploratory oncology work. It has no approved products or product-sales revenue. Its lead candidate, AB-729, is in Phase 2a combination trials; AB-101 and AB-161 remained preclinical, while coronavirus candidate AB-343 entered IND-enabling studies.

Revenue rose by $28.0 million, principally from $26.0 million recognized under the Qilu AB-729 license and higher ONPATTRO-related royalties. Revenue included $7.7 million of non-cash royalty revenue; the company reported no product-sales revenue. Research and development expense increased to $84.4 million from $65.5 million, mainly due to AB-729 Phase 2a trials and early-stage programs.
At year-end, cash and cash equivalents were $30.8 million and marketable securities were $153.5 million, totaling $184.3 million; total assets were $195.4 million and stockholders’ equity was $136.9 million. The company had no outstanding debt. Current liabilities were $32.9 million versus current assets of $151.1 million. Other liabilities included $10.4 million related to the sale of future royalties and $7.5 million of contingent consideration.
Operating cash use was lower than in 2021 partly because of Qilu-related cash receipts. Management states that operations used $79.4 million of cash before those inflows. Investing cash outflow of $74.9 million largely reflected purchases of marketable securities. Financing cash inflows were $31.8 million, including $20.3 million from share sales under the at-the-market program and $11.0 million attributed to Qilu’s share purchase.
Material changes and notable items
- Qilu paid a $40.0 million upfront license fee in January 2022 and invested $15.0 million in Arbutus shares. Arbutus recognized $26.0 million of Qilu revenue during 2022; $22.5 million remained as net deferred license revenue at year-end. The accounting recognizes the license and manufacturing-technology-transfer obligations together over time.
- Arbutus issued 8.6 million shares through its ATM program in 2022, raising $20.3 million net; it also issued 3.6 million shares to Qilu’s affiliate. Shares outstanding rose from 145.0 million at year-end 2021 to 157.5 million at year-end 2022.
- In 2021, $12.1 million of preferred-share dividend accretion increased the loss attributable to common shareholders; the preferred shares had converted into common shares in October 2021. This helps explain why common-share loss improved more than net loss.
- Arbutus discontinued its AB-836 Phase 1a/1b trial in the fourth quarter of 2022. The Assembly collaboration trial involving VBR was to end after the final on-treatment visit after Assembly discontinued VBR development.
- The company reported $4.4 million of income tax expense for Chinese withholding taxes paid by Qilu on the upfront license payment.
Outlook, risks and contingencies
- Management expects net cash burn of $95–$100 million in 2023 and believes year-end 2022 cash, cash equivalents and investments will fund operations into the fourth quarter of 2024. It anticipates needing substantial additional capital thereafter; future financing could dilute shareholders or require giving up rights to programs or revenue.
- Management’s clinical outlook included Phase 1 starts for AB-101 and AB-161 in the first half of 2023, and an AB-343 Phase 1 start in the second half of 2023, subject to development progress and regulatory requirements. These are forward-looking plans, not assured outcomes.
- AB-729 results were preliminary and from early-stage studies. The filing highlights observed HBsAg declines and immune-response findings, but notes that early or interim results may not predict later trial outcomes. Drug development, safety, enrollment, regulatory approval and commercialization remain uncertain.
- Clinical programs may face disruption from COVID-19, the war in Ukraine, supply constraints, reliance on contract manufacturers and CROs, and collaboration-partner decisions. The company has no internal large-scale manufacturing plans.
- Arbutus and Genevant are seeking damages from Moderna for alleged patent infringement involving Moderna’s COVID-19 vaccine; the action does not seek to stop vaccine sales. Acuitas separately seeks declarations concerning non-infringement and patent validity; Arbutus and Genevant’s motion to dismiss was fully briefed, with no case schedule reported. Outcomes and potential recoveries are uncertain.
- Potential Enantigen acquisition payments include up to $102.5 million in sales milestones tied to the first commercialized HBV product, plus a limited royalty. The recorded contingent-consideration liability was $7.5 million at year-end.
Most important facts for investors to verify
- Whether the stated cash runway remains valid against actual quarterly cash burn, trial spending and any new financing.
- Progress and complete safety and efficacy data from AB-729 combination trials, and whether the planned AB-101, AB-161 and AB-343 clinical milestones occurred.
- Qilu’s manufacturing-transfer progress and any milestone, royalty or additional supply payments; also confirm the assumptions supporting revenue recognition and deferred revenue.
- Share count and dilution after year-end: the filing reports 162.6 million shares outstanding as of February 28, 2023, compared with 157.5 million at December 31, 2022.
- Developments in the Moderna and Acuitas patent litigation, the ONPATTRO royalty stream and the remaining OMERS royalty-sale balance.
- Whether operating cash-flow comparisons account for the timing of Qilu receipts and investment purchases, rather than treating reported cash flows as a direct measure of recurring operating burn.
