AGNC Investment Corp. quarterly report, Q2 FY2022

AGNC Investment Corp. — Q2 2022 Form 10-Q

Reporting period: Quarter and six months ended June 30, 2022; filed August 4, 2022. AGNC is an internally managed mortgage REIT investing primarily in leveraged Agency residential mortgage-backed securities (RMBS), funded mainly through repurchase agreements.

Financial performance and condition

  • Q2 results: Net interest income was $315 million, compared with $232 million in Q2 2021. GAAP net loss was $434 million, or $0.87 per common share, versus a $411 million loss, or $0.83 per share. Loss attributable to common stockholders was $459 million.
  • First half: Net interest income was $763 million, compared with $760 million in 2021. Net loss was $1.085 billion, or $2.16 per share, versus net income of $564 million, or $0.97 per share, in the prior-year period.
  • Drivers and spread: Q2 net losses included $946 million of realized losses on securities sales and $987 million of unrealized losses on securities measured through earnings; $1.204 billion of gains on derivatives and other securities partly offset those losses. Management’s non-GAAP net spread and dollar roll income, excluding catch-up premium amortization, was $0.83 per diluted share in Q2, up from $0.76 in Q2 2021. The related net interest spread was 2.70%, versus 2.09%.
  • Cash flow: For the first half, operating cash flow was $693 million, investing cash flow was $4.691 billion, and financing cash outflow was $4.670 billion. Cash, cash equivalents and restricted cash ended at $2.239 billion, up $714 million from year-end 2021.
  • Balance sheet and leverage: Total assets were $61.240 billion and total liabilities $53.200 billion at quarter-end, versus $68.149 billion and $57.858 billion at December 31, 2021. Stockholders’ equity was $8.040 billion, down from $10.291 billion. Book value per common share was $12.44 and tangible book value per share $11.43, versus $16.76 and $15.75, respectively. Tangible net book value “at risk” leverage was 7.4x, down from 7.7x.
  • Portfolio and funding: Investment portfolio fair value, including TBAs, was $61.3 billion, down from $82.0 billion at year-end. Repurchase agreements totaled $43.2 billion; their weighted-average rate rose to 1.26% from 0.15%. Q2 common dividends declared were $0.36 per share.
  • Liquidity: Unencumbered assets were $4.4 billion, or 58% of tangible equity, compared with $6.5 billion, or 67%, at year-end. AGNC said it had met all margin requirements and believed it had sufficient liquidity and capital resources.

Material changes and management outlook

  • Management attributed the first-half market pressure to Federal Reserve tightening expectations, higher rates and volatility, and wider Agency RMBS spreads. It reported economic returns on tangible common equity of negative 10.1% for Q2 and negative 22.9% for the first half, including dividends and tangible book value changes.
  • Management said it maintained a defensive position: the hedge ratio was 126% at quarter-end, up from 101% at year-end, and duration gap was 0.4 years versus 0.1 years. The hedge ratio and duration gap are management measures, not guarantees against losses.
  • Management viewed Agency RMBS valuations and the supply-and-demand outlook as increasingly attractive, while cautioning that spreads could widen further and volatility could persist near term. It said the portfolio was positioned to potentially increase leverage as volatility stabilizes. The filing provides no specific earnings or dividend guidance.
  • Estimated taxable income attributable to common stockholders was $22 million for Q2 and a $21 million loss for the first half; these estimates may change. The filing notes AGNC’s REIT distribution requirements.

Risks, contingencies and other disclosures

  • Principal risks include interest-rate, mortgage-spread, prepayment, extension, liquidity and credit risk; short-term repo funding also depends on lenders’ willingness to renew and collateral values. Margin calls or higher haircuts could pressure liquidity or force asset sales.
  • Management’s modeled sensitivity at June 30 estimated that a 25-basis-point rate increase would reduce tangible book value per share by 1.2%; a 25-basis-point spread widening would reduce it by 15.5%. These are static-portfolio estimates based on assumptions, not forecasts.
  • AGNC reported no material change to previously disclosed risk factors, no material litigation expected to adversely affect results, and effective disclosure controls. No material change in internal control over financial reporting was reported.

Investor verification priorities

  • Reconcile GAAP losses and securities valuation changes with the company’s non-GAAP spread and dollar-roll measures.
  • Track tangible book value, portfolio and leverage changes, and whether the dividend remains supported by taxable income and liquidity.
  • Review repo renewal terms, collateral haircuts, margin requirements, and the decline in unencumbered assets.
  • Assess the assumptions and limitations behind interest-rate and spread sensitivity estimates, especially given 2022 market volatility.
  • Monitor whether management’s expected improvement in Agency RMBS conditions materializes and whether increased leverage follows.
