FY 2020 income tax benefit was $1,396.9 million, principally reflecting a one-time deferred tax benefit of approximately $1,493.5 million from transferring certain intellectual property rights and fixed assets to the Swiss subsidiary. The resulting reported net income and EPS are therefore not a straightforward measure of recurring operating performance.

At year-end, cash and cash equivalents were $960.8 million, with no marketable securities. Current assets were $1,849.5 million and current liabilities were $1,325.6 million. Align had no borrowings under its $300 million unsecured revolving credit facility, which matures in July 2023. Total liabilities were $1,595.8 million.

Material changes versus FY 2019

  • International Clear Aligner revenue rose 9.5%, while Americas Clear Aligner revenue fell 1.2%. Higher case volume was partly offset by lower average selling prices, including promotional discounts and product mix.
  • Clear Aligner case volume increased 7.0%; international volume rose 13.3% and Americas volume 2.2%. Systems and Services revenue fell, mainly due to fewer scanners recognized and lower scanner average selling prices; service and exocad revenue partly offset the decline.
  • Gross margin fell as lower selling prices, expansion-related manufacturing spending, additional aligners per case and lower Systems and Services volumes weighed on results.
  • SG&A increased to $1,200.8 million from $1,072.1 million, and R&D rose to $175.3 million from $157.4 million. Operating income also compared against a prior year that included the Straumann settlement gain.
  • Cash from operations decreased; investing cash outflow included $420.8 million for exocad, net of cash acquired. Year-end cash increased by $410.3 million, and no common stock was repurchased in 2020.

Outlook, commentary, risks and unusual items

  • Management expects 2021 expenses to exceed 2020 levels and capital expenditures of approximately $400 million, primarily for facilities and manufacturing capacity. Planned investment areas include manufacturing, sales and marketing, and product and technology development.
  • Management expects international revenue to grow faster than Americas revenue over the foreseeable future, citing market opportunity and investment. It also expects Invisalign utilization to improve, while noting that utilization and demand may fluctuate.
  • COVID-19 disrupted dental practices, demand, operations and seasonal patterns. Practices had largely reopened by late 2020, often below pre-pandemic capacity; further outbreaks, restrictions, uneven demand, customer finances and supply-chain disruption remained significant uncertainties.
  • Key business risks include rising clear-aligner and scanner competition, pricing pressure, reliance on single-source suppliers, international and currency exposures, regulatory and data-privacy requirements, cybersecurity, and execution and integration risks associated with exocad.
  • Significant litigation includes securities and shareholder derivative actions, patent and antitrust disputes involving 3Shape, a dental-practice antitrust action, and disputes with SmileDirectClub (SDC), including an unresolved arbitration over the SDC capital-account balance. The company says it cannot predict outcomes or estimate possible losses for these matters.
  • The audit identified critical audit matters involving estimates of standalone selling prices and usage rates for clear-aligner obligations, valuation of the Swiss-transfer-related deferred tax asset, and valuation of exocad technology. The auditor issued an unqualified opinion and reported effective internal control over financial reporting.

Most important facts for investors to verify

  • Separate recurring operating performance from the approximately $1.49 billion one-time tax benefit; assess the assumptions and future Swiss taxable income supporting realization of the deferred tax asset.
  • Track revenue growth against average selling prices, promotional discounting, product mix and gross-margin trends, particularly in the Americas and Systems and Services.
  • Assess cash generation, working-capital movements, planned $400 million 2021 capital expenditures and contractual purchase obligations of $805.5 million.
  • Monitor post-acquisition exocad contribution and integration, alongside scanner sales and service growth.
  • Review developments in COVID-19-related demand and operations, key supplier continuity, and material litigation and arbitration outcomes.
