  • Clear Aligner revenue rose 14.4% to $516.6 million; case volume increased 17.5% to 363,500. Growth was partly offset by lower average selling prices from discounts, product mix and foreign exchange.
  • Scanner and CAD/CAM Services revenue was $43.4 million, up from $28.1 million; FY 2011 included only eight months after the Cadent acquisition. Segment gross margin was 24.1%, versus 78.6% for Clear Aligner.
  • Operating results included a $36.6 million non-cash goodwill impairment for the scanner/CAD/CAM reporting unit, including $11.9 million in Q4. Excluding the impairment, the filing does not provide a single adjusted earnings measure.
  • Q4 revenue was $142.8 million, versus $128.9 million a year earlier. Q4 operating income was $17.1 million versus $26.4 million; net income was $9.6 million versus $20.4 million, with the year-over-year decline reflecting the Q4 impairment.

Liquidity, cash flow and debt

  • Cash, cash equivalents and marketable securities totaled $356.1 million at year-end, including $49.7 million of marketable securities. Working capital was $326.8 million; current assets were $485.8 million and current liabilities $155.8 million.
  • Cash from operations was $133.8 million; capital expenditures were $38.3 million. Cash and cash equivalents increased $65.7 million during the year.
  • No debt was outstanding at year-end. The $30 million revolving credit facility expired December 31, 2012. Management said existing cash and investments plus operating cash flows were expected to fund operations for at least 12 months.
  • FY 2012 share repurchases totaled $47.2 million; $95.1 million remained under the authorization at year-end. The company reported no off-balance-sheet arrangements.

Changes, outlook and significant items

  • Revenue growth reflected higher Invisalign case volume and a full year of Cadent scanner/CAD/CAM activity. Despite higher revenue, net income fell, principally due to the goodwill charge and higher expenses.
  • Management expected to train approximately 7,220 new doctors in 2013 and add about 20 sales representatives, mainly in North America. The Asia-Pacific distribution arrangement was expected to transition to direct sales for Australia, New Zealand, Hong Kong and Singapore on May 1, 2013; management cautioned that added operating costs could offset the higher selling prices and benefits might not be achieved as expected.
  • SmartTrack aligner material became the standard in North America in January 2013 and was planned for approved international markets. Management anticipated higher material costs and some gross-margin pressure. Invisalign prices increased by $26–$50 per case from January 1, 2013; rebates and mix were expected to partly offset the price impact.
  • Management expected 2013 operating expenses to rise, citing sales-force expansion, Asia-Pacific direct-sales costs and the 2.3% U.S. medical-device excise tax. It also cited approximately $4 million of Q1 2013 revenue benefit from consolidating Vivera retainer shipments into one annual shipment.
  • Following termination of the Straumann scanner distribution arrangements, Align expected very few scanner sales internationally in the near term while reassessing its sales model. The SCCS reporting unit remained sensitive to valuation assumptions; management said it could continue to fail the first impairment-test step.
  • A Q4 revenue adjustment released $4.9 million of previously deferred case-refinement revenue after actual usage was lower than estimated; the company said the correction was not material to FY 2012 or any quarter. The filing identifies $0.7 million as relating to FY 2011.
  • A securities class action and a related shareholder derivative action alleged, among other things, untimely goodwill impairment recognition and misleading forecasts. Align intended to defend the claims, but could not estimate the likelihood or amount of loss.
  • The CFO was scheduled to step down effective March 4, 2013; the General Counsel was to serve as interim CFO while a search proceeded. A prior material weakness in segregation of duties over journal entries was reported remediated by year-end 2012; management and the auditor concluded internal controls were effective, and management reported no impact on the 2011 or 2012 financial statements.

Most important facts for investors to verify

  • Whether Clear Aligner case-volume growth can continue while discounts, product mix and foreign exchange pressure selling prices and margins.
  • Whether the SCCS business meets revised growth and profitability expectations, and whether further goodwill impairment is required.
  • Actual economics and execution of the Asia-Pacific direct-sales transition, including the expected revenue uplift versus operating costs.
  • Realized SmartTrack costs, price increases, rebates and the 2013 medical-device excise-tax impact.
  • Outcomes and potential exposure from the securities and derivative lawsuits; the filing provides no estimable loss range.
  • Tax assumptions, including Costa Rica incentives that reduced 2012 income taxes by $21.8 million, and the $20.6 million of unrecognized tax benefits.
