  • At March 31, cash and cash equivalents were $144.7 million, restricted cash was $6.4 million, and current assets totaled $1.307 billion against current liabilities of $703.7 million.
  • Long-term debt, net of issuance costs, was $2.592 billion; the company also had $100 million drawn on its revolving facility. It reported $245.9 million of remaining revolver capacity. Debt-related interest expense was $49.3 million, versus $33.3 million a year earlier.
  • Operating cash flow benefited from receivables collections and a $21.4 million Orion license payment, and was partly offset by an $83.9 million Opana ER settlement payment. Investing cash use was $11.7 million; financing cash use was $12.9 million.
  • Management said available cash, operating cash flow and borrowing capacity should fund planned operations and obligations for the next 12 months, subject to economic conditions, product demand and access to satisfactory financing.

Material changes, outlook and risks

  • Revenue quality and margins: Q1 Generics revenue included a non-recurring $21 million customer order tied to 2022 product launches; related cost of goods sold was $11 million. Continued generic price erosion and the lower-margin sales mix weighed on margins.
  • Interest and costs: Management attributed the $16 million year-over-year increase in interest expense primarily to higher rates on variable-rate debt and higher revolving borrowings. It estimated approximately $15 million of inflation-related cost increases in 2023, excluding rising interest rates.
  • Spending outlook: The filing estimates 2023 capital expenditures of $50–$60 million. It identifies a remaining $50 million Opana ER settlement payment, debt interest and principal, and lease payments among expected obligations over the next 12 months. The filing provides no specific revenue or earnings guidance.
  • Legal matters: The Opana ER antitrust settlement totaled $265 million; $215 million had been paid by March 31, leaving $50 million plus stated interest recorded as a current liability. Opioid, generic-drug pricing, ranitidine, metformin and other litigation or investigations remain; outcomes and potential losses are uncertain. The company recorded a $2.1 million Q1 charge for civil prescription opioid litigation.
  • Tax and contingent obligations: A $435.4 million valuation allowance reduced gross deferred tax assets to zero. The company disclosed an estimated $202.7 million contingent tax receivable agreement liability, of which approximately $1.5 million was recorded; certain events could accelerate payments. Tax distributions to non-controlling owners were $18.0 million in Q1, with additional distributions in April.
  • Concentration and operations: Three customers represented 56% of Q1 revenue; three customers represented 81% of trade receivables at quarter-end. The company also depends on third-party suppliers and faces pharmaceutical pricing, regulatory, product-development and competitive risks.
  • Other items: The India Production Linked Incentive Scheme contributed $1.2 million of Q1 other operating income. Management reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.

  • Developments in opioid, generic pricing and other legal proceedings, including whether additional losses or settlement payments become probable and estimable.
