- Q3 revenue increased 41% year over year, driven by licensing growth; nine-month revenue rose 6%. Licensing revenue increased 121% in Q3 and 39% for the nine months, while royalties declined 11% and 19%, respectively.
- Despite higher revenue and gross margin, nine-month operating income fell to $1.1 million from $2.0 million, and net income declined to $1.1 million from $3.6 million. Operating expenses rose to $32.2 million for the nine months, mainly from higher staffing and costs associated with RivieraWaves.
- Q3 returned to operating and net profit from losses in Q3 2013. Financial income was $0.1 million in Q3 and $0.9 million for the nine months, down from $0.6 million and $2.1 million, respectively.
- Cash, short- and long-term bank deposits, and marketable securities totaled $128.2 million at September 30, versus $151.6 million at December 31, 2013. Cash and cash equivalents alone were $14.0 million, down from $24.1 million.
- Current assets were $129.3 million and current liabilities $22.1 million. The balance sheet reported no debt; stockholders’ equity was $179.5 million, versus $190.9 million at year-end 2013.
- Nine-month investing cash flow was $0.5 million provided, including acquisition spending; financing used $16.3 million, chiefly reflecting $18.7 million of share repurchases. Cash and cash equivalents declined $10.1 million over the period.
Material changes and notable items
- CEVA acquired 100% of RivieraWaves, a French Wi-Fi and Bluetooth IP provider, in July 2014. Consideration was approximately $18.1 million at estimated fair value: $14.7 million paid and $3.4 million contingent consideration. The preliminary allocation included $9.9 million goodwill and $6.5 million acquired intangible assets; valuation remained subject to finalization.
- The acquisition added $0.3 million of intangible amortization in Q3 and contributed to higher operating expenses. A roughly $3.4 million employee retention plan is payable over two years. Management expected about $1.2 million of additional RivieraWaves operating expenses in Q4 2014, plus retention and amortization-related costs.
- CEVA recorded a $0.4 million loss on its Antcor investment following Antcor’s acquisition. It received approximately $1.0 million in August and reported additional potential proceeds, including milestone-based amounts.
- CEVA repurchased 1.23 million shares for $18.7 million in the first nine months, at an average $15.20 per share. No shares remained authorized for repurchase at September 30; the board authorized a further 1 million shares in October.
- Customer and royalty concentration remained significant: the five largest customers generated 77% of Q3 revenue and 58% of nine-month revenue. Five largest royalty-paying customers accounted for 91% and 87% of royalty revenue, respectively.
Outlook, risks and contingencies
- Management expected quarterly licensing revenue of $6 million to $7.5 million following the RivieraWaves acquisition, compared with a historical range of $5 million to $6 million. It anticipated non-handset royalty-bearing shipments could rise from about 100 million annually in 2013 to 700–900 million by 2018; a separate acquisition target was 400 million connected-device units, excluding handsets, by 2018.
- Management also described a goal of increasing 2015 licensing revenue by 25% against a historical annual range of $22 million to $24 million. These are expectations, not guaranteed results. The company stated available liquid resources and operating cash flow should fund operations for at least 12 months, subject to revenue and expense assumptions.
- Key risks include reliance on a limited number of customers and royalty payers; volatile, hard-to-forecast license timing and customer shipments; royalty-rate and product-mix pressure; handset and semiconductor cyclicality; competition and in-house alternatives; and execution and integration risks for RivieraWaves.
- Foreign exchange is a material exposure: CEVA reported Q3 foreign exchange loss of approximately $0.3 million, partly related to euro cash acquired with RivieraWaves. The company hedges some foreign-currency payroll but cautioned hedges may not fully offset currency movements.
- Research grants and tax benefits are subject to eligibility conditions. The filing cited $3.7 million of Israeli and EU research grants received in the first nine months and noted that Israeli tax benefits are scheduled to begin expiring in 2017. French research tax-credit eligibility also presents a risk.
- Management reported no legal proceedings expected to have a material effect, no material changes to internal control, and effective disclosure controls as of September 30, 2014.
Important facts for investors to verify
- Whether RivieraWaves licensing wins translate into sustained revenue and royalty shipments, and whether integration costs and retention payments track management’s estimates.
- Whether royalty declines stabilize, particularly given handset-market exposure, changing product mix and customer exits or product shifts cited by management.
- How customer concentration evolves: the filing reports substantial revenue dependence, including 77% from the five largest customers in Q3.
- Whether the preliminary RivieraWaves purchase-price allocation, contingent consideration and Antcor proceeds change as valuations and milestones are finalized.
- Whether cash generation remains adequate after acquisitions and repurchases, and whether management’s 12-month liquidity assessment remains supported by actual operating results.
- Whether research-grant and tax-benefit conditions, foreign-exchange exposure, and the adoption of the new revenue-recognition standard materially affect future results.
