Gross profit increased 12%, but SG&A rose 22% to $12.5 million, contributing to lower operating income, net income and EPS. Adjusted EBITDA as a percentage of gross profit (the company’s “effective margin”) declined to 32.5% from 37.4%. The company attributed the difference between sales and adjusted gross billings growth primarily to product mix and foreign-exchange effects; more security, maintenance and cloud business was recorded net as agent revenue.
Distribution sales rose 11% to $86.8 million; Solutions sales declined 14% to $5.6 million. Gross profit increased in both segments. Distribution segment income before taxes declined to $6.8 million from $8.0 million, while Solutions segment income rose to $1.4 million from $1.2 million.
At March 31, cash and cash equivalents were $43.6 million, current assets $232.6 million and current liabilities $214.3 million. The company had no balance on its $50 million revolving facility and $1.2 million outstanding on its term loan. Operating cash flow was lower year over year, despite a $40.4 million cash source from accounts receivable changes, partly offset by a $31.0 million use from accounts payable and accrued expenses. Investing cash outflow was $1.2 million, primarily for equipment and its ongoing ERP project; financing cash outflow was $5.6 million, including $4.2 million of credit-facility repayments and $0.8 million of dividends.

Outlook, risks and controls
No quantitative revenue or earnings guidance is provided. Management expects working-capital needs to increase as it invests in growth and believes cash and unused revolver capacity will be sufficient for working-capital and cash requirements for at least the next 12 months. Management cited continued investment in personnel, training and infrastructure as drivers of higher SG&A.
Risks highlighted include vendor and customer acceptance of the distribution channel, product availability and mix, competitive pricing, IT-spending conditions, vendor rebates and incentives, customer payment and returns, foreign exchange, and successful acquisition integration. Two customers represented 20% and 15% of Q1 sales; two vendors represented 16% and 10% of purchases. The company reported a $4.1 million Level 3 contingent earn-out liability, valued using unobservable inputs; the Data Solutions earn-out depends on post-acquisition results. Management said disclosure controls were effective, but excluded Data Solutions controls from its evaluation while integration continues. The filing reports no material change in internal control over financial reporting and no off-balance-sheet arrangements.
