ClearPoint Neuro, Inc. — 2020 Form 10-K
Reporting period: Fiscal year ended December 31, 2020; filed March 22, 2021. This is an annual report, not a standalone fourth-quarter report. ClearPoint develops MRI-guided minimally invasive neurosurgical systems, principally its commercial ClearPoint platform. The statements were audited and received an unqualified opinion.
Financial performance
| Metric | 2020 | 2019 |
|---|---|---|
| Total revenue | $12.829 million | $11.217 million |
| Product revenue | $8.789 million | $9.796 million |
| Service and other revenue | $4.040 million | $1.421 million |
| Gross margin | 71% | 65% |
| Operating loss | $6.220 million | $4.594 million |
| Net loss | $6.782 million | $5.540 million |
| Net loss per share, basic and diluted | $0.43 | $0.42 |
| Cash used in operating activities | $7.807 million | $2.850 million |
Revenue grew 14%, but the mix shifted: service revenue rose sharply while product revenue declined 10%. Gross margin improved because higher-margin service revenue represented a larger share of sales; management cautioned that margins could fall if revenue mix and overhead allocations return to historical levels. Operating expenses increased, notably R&D (up 67%), sales and marketing (up 13%), and general and administrative costs (up 22%), contributing to a wider operating and net loss.
Liquidity, debt and financing
- At year-end, cash and cash equivalents were $20.099 million; current assets were $25.462 million and current liabilities were $3.200 million.
- Total liabilities were $27.141 million and stockholders’ equity was $2.377 million. The balance sheet included $21.280 million of 2020 senior secured convertible notes, net of discounts and financing costs; scheduled principal of approximately $25.0 million was due in 2025. The notes are secured by the Company’s assets.
- Cash from financing activities was $22.692 million in 2020, including $24.258 million net proceeds from secured convertible notes, partly offset by $2.838 million of note repayments. The earlier 2010 secured notes were repaid and retired during 2020.
- The $0.896 million Paycheck Protection Program loan was forgiven in November 2020; the forgiveness generated other income. This was an unusual, non-recurring benefit.
- After year-end, the February 23, 2021 public offering generated approximately $46.8 million in net proceeds. Management stated year-end cash, together with its financing position, was sufficient for at least the next 12 months; it also expected continued operating cash use.
Material changes and business developments
- ClearPoint procedures fell to 682 in 2020 from 801 in 2019, a 15% decline; active surgical centers remained above 60 with minimal growth. The filing attributes the impact largely to COVID-19 disruptions.
- Functional neurosurgery navigation and therapy revenue declined 12% to $6.296 million. Capital equipment and software revenue declined 10% to $1.490 million, as hospitals postponed purchases.
- Biologics and drug delivery revenue increased 109% to $5.043 million, primarily due to clinical support services, including revenue from a related-party customer. That customer accounted for 28% of total 2020 revenue; five hospital customers represented approximately 36% of functional neurosurgery navigation revenue.
- The Company entered into Philips licensing and research arrangements and Blackrock development and option agreements during 2020. Maestro was expected to be cleared for launch in 2022; initial Blackrock-related launches were anticipated in 2023. These are forward-looking expectations, not reported results.
- ClearTrace, the cardiac intervention product candidate, remained in development, with spending reduced as resources focused on ClearPoint.
Outlook, risks and contingencies
Management anticipated higher revenue over the next 12 months from greater use at existing sites, new installations and clinical services, alongside higher operating expenses and reduced operating losses and cash use. It provided no quantified revenue, earnings or cash-flow guidance and cautioned that results were uncertain and cash burn was expected to continue.
- COVID-19 could continue to postpone elective procedures and hospital capital purchases; elective procedures historically represented about 80% of ClearPoint cases.
- Key risks include customer concentration, limited market adoption and reimbursement, competition, single-source suppliers and constrained manufacturing capacity, regulatory and clinical-development hurdles, and the need for additional funding if growth or financing assumptions are not met.
- The Company reported approximately $120 million in cumulative losses through year-end and stated that insufficient future financing could create substantial doubt about its ability to continue as a going concern.
- In the fourth quarter, ClearPoint recorded a $0.1 million impairment of license rights deemed unlikely to provide future benefit. No material pending legal proceedings were reported.
- Management concluded disclosure controls and internal control over financial reporting were effective at December 31, 2020; the auditor did not provide an internal-control attestation.
